ANTECEDENTES
• EF Asset Management Administradora de Fondos de Inversión S.A., en calidad de Fiduciario y Lembay S.A. y Gimley S.A., en calidad de fideicomitentes, constituyeron el Fideicomiso Financiero denominado “NZFSU I”
• El 25 de junio de 2009 el Banco Central del Uruguay resolvió inscribir los Títulos de Deuda a emitirse por el “Fideicomiso Financiero NZFSU I”, en el Registro del Mercado de Valores que lleva dicha institución.
• Los mismos se han inscrito en el registro de Emisores y Valores tanto de la Bolsa de Valores de Montevideo como de la Bolsa Electrónica de Valores S.A. (BEVSA).
• EF Asset Management Administradora de Fondos de Inversión S.A., en calidad de Fiduciario y Emisor, junto con Banco Santander S.A. actuando como Agente Estructurador, Entidad Registrante y Agente de Pago, ofrecen la suscripción de los Títulos de Deuda antes indicados, para lo cual han publicado el aviso de suscripción correspondiente el día 20 de Julio de 2009.
• Las condiciones de emisión resultan del Prospecto de Emisión del “Fideicomiso Financiero NZFSU I”, cuyas copias se encontrarán a disposición de todos los interesados a partir del 22 de julio en el domicilio de EF Asset Management Administradora de Fondos de Inversión S.A. (Avda. Luis Alberto de Herrera 1248, World Trade Center, Torre B, Piso 12, Montevideo) y en las Bolsas de Valores en las que han sido inscritos.

Craig Norgate, BBS, CA, FNZIM
Managing Director of Rural Portfolio Investments Limited. Craig has had almost 20 years experience as a leader in New Zealand agribusiness, including two years as the inaugural CEO of Fonterra Co-operative Group and, prior to that, a number of years as CEO of Kiwi Co-operative Dairies.Chairman of PGG Wrightson Limited and a Director of Westgate Port Taranaki Limited, Aotearoa Fisheries Limited, Sealord Group Limited and Dexcel Limited. He is a member of the Government’s Growth and Innovation Advisory Board and the Advisory Board for the Auckland Regional Council’s Economic Development Unit.
Murray Flett, B. Com Ag
Murray Flett is a Southland-based dairy farmer and a Director of a number of private companies.Murray spent nine years as a Director in the dairy industry, including a three-year term as a Director of Fonterra Co-operative Group. He is currently a Director of PGG Wrightson Limited and several private companies in the food, printing, importing and agricultural sectors.
Sam Maling, LLB, AFInstD
Sam Maling is Chairman of Pyne Gould Corporation Limited and MARAC Finance Limited. He is also a Director of PGG Wrightson Limited and Perpetual Trust Limited. Sam practices as a barrister in Christchurch and has over 30 years professional experience in law. He is currently the Chairman of the Audit Committee of NZ Farming Systems Uruguay. He has served as a vice-president of the New Zealand Law Society and Chairman of the Broadcasting Standards Authority.
John Parker, B Agr Sc., AMP, Harvard
John Parker is an independent Director of the Company. He was formerly Deputy CEO of the NZ Dairy Board and amongst other responsibilities was Chairman of the Dairy Board’s Latin American subsidiaries and a Director of the Livestock Improvement Corporation Limited. He started with the Dairy Board as a Consulting Officer (farm advisor) and has owned dairy farms. John has held a number of directorships and is currently Chairman of Port of Tauranga Limited and Toll Owens Limited and is a Director of several private companies.
John Roadley
John, who is well known in farming circles, has been a dairy farmer all his life. Among many achievements in his long and successful career he was at the forefront of the development of dairy farming in the South Island in the early 1980s. John has held numerous directorships in the farming sector over the past 25 years. Among them, he was a founding director of DEXCEL, the final chairman of the New Zealand Dairy Board and the establishment chairman of Fonterra. John’s ability, knowledge and experience are well recognised in the farming community and he will make a valuable contribution to the Company’s development.
Graeme Wong
Graeme Wong is an independent Director of the Company. Graeme’s background includes stockbroking, capital markets and investment. He founded and became Executive Chairman of Southern Capital Limited (evolved into Hirequip New Zealand Limited – recently sold to private equity interests). Previous directorships include Sealord Group Limited, Tasman Agriculture Limited, Magnum Corporation Limited, and At Work Insurance and alternate director of Air New Zealand.Currently Graeme is also Chairman of Clocktower Games Limited and a Director of Tourism Holdings Limited..

Michael Thomas is Group General Manager, Financial Services of PGG Wrightson and is the executive in charge of the management contract between the Manager and the Company. Michael holds Ag.Science and M.Econ with Distinction degrees from Adelaide University and UNE respectively, and Graduate Diplomas in Finance and Investment from the Financial Services Institute of Australasia and Ag. Ec from UNE. He joined PGG Wrightson in mid 2007 from Landmark, an Australian market leader in providing products and services to some 100,000 rural clients, where he was the Executive General Manager of Operations and previously of Financial Services. Michael has over 17 years’ experience in corporate agribusiness.
Barry Brook is the Group General Manager South America. Barry Brook has recently taken up the position of Group General Manager South America. Barry is responsible for PGG Wrightson’s Farm Management Service Agreement to NZ Farming Systems Uruguay and the other PGG Wrightson’s business operations in South America. Barry was appointed Chief Executive Officer of PGG Wrightson at the time of the Wrightson/Pyne Gould Guinness merger and prior to that he had been Chief Executive Officer of Wrightson since 2004. Prior to his appointment as Wrightson Chief Executive, Barry was General Manager, International. In this role, he was responsible for the Group’s highly successful seeds business, and for its operations in Australia and Uruguay. Barry has a Masters of Agricultural Commerce (Hons) Degree and a Diploma in Valuation and Farm Management, both from Lincoln University.
Andrew Clark is the Chief Financial Officer of New Zealand Farming Systems Uruguay. Andrew joined PGG Wrightson in mid 2008 from NZ-based global dairy exporter Fonterra. During a 14 year career with Fonterra he held a number of senior financial roles in New Zealand, Venezuela and the US, including acting Commercial Director for Fonterra’s North America, North Asia and Europe Ingredients business, and Finance Manager of Fonterra’s Dairy Partners Americas joint venture with Nestle in Venezuela. Bilingual in Spanish, Andrew holds a B.Com from the University of Canterbury, and is a CA member of the NZ Institute of Chartered Accountants.
Carlos Miguel de León is the Chief Executive of PGG Wrightson Uruguay, the Farm Manager, and oversees all of the Company’s activities in South America. He has been PGG Wrightson’s senior South American executive since 1999. Carlos Miguel has extensive experience in Uruguayan agribusiness. One of the early movers in the trialling of new seed varieties in Uruguay, he was a founder shareholder and director of Semillas PAS, the seed company founded in 1992 that was subsequently to become Wrightson PAS. Carlos Miguel has been chairman of UROPOV (Uruguayan Association for Plant Breeders’ Protection) for the last 5 years and also chairs the Uruguay Seed Chamber. He has been responsible for the development of PGG Wrightson’s successful seed operations from a small base to market leader and has played a key role in the development of NZ Farming Systems Uruguay.
Michael King is General Manager, Farm Operations of the Farm Manager. Michael holds a Bachelor of Applied Science in Agriculture, Rural Valuation & Management from Massey University, with recognition in academic achievement as a Massey Scholar. He has an extensive background in farm management and consultancy, particularly in dairying and has previously been involved in large scale dairy conversion and beef production. He is experienced in the implementation of New Zealand pasture-based systems in South America.
Jorge Varela is General Manager, Construction of the Farm Manager. Jorge is an Agronomist and a well-respected farmer who has been working as an advisor to groups involved in agriculture and farming activities, and has been published in Uruguay. He is a Director of one of the largest rice companies in Uruguay, with which he has had a 30 year involvement.
Rafael Secco is General Manager, Operations (local) of the Farm Manager and an Agronomist with 24 years of wide-ranging experience in the operation and management of farming businesses in Uruguay. In the early 1990’s Rafael managed the largest dairy operation of Parmalat in the region and he has undertaken and managed successful dairy conversions certified to ISO 9001-2000 for European owners. Rafael has also managed a farm of 5500 hectares with intensive beef fattening, also operating under ISO 9001-2000 certification.

Intereses:

- a partir de esa fecha se mueve en un rango mínimo de 5%, máximo de 15%
- se determina aplicando un índice que se calcula a partir de los ingresos por venta de leche de la empresa sobre la evolución de los precios de los principales costos de la empresa
Amortización:
- semestral
- período de gracia hasta el 30/03/2016
- primera amortización : 30/09/2016
- 2% de ingresos por venta de leche
- a partir del 30/09/2019 amortización es 3% ingresos por venta de leche
Repago:
- se cede el 7% del total de ingresos por ventas de leche mensualmente
- a partir del 1/07/2015 se cede el 9% de ingresos por venta de leche
