1. ASOCIACION INTERNACIONAL DE ESTUDIANTES EN CIENCIAS ECONOMICAS Y COMERCIALES (AIESEC)

Asociación sin fines de lucro, con Personería Jurídica reconocida por medio de resolución del Ministerio de Gobierno y Justicia #658 del 23 de octubre de 1981, reinscrita con el número 139 el día 10 de diciembre de 2010 en el Registro de Personerías Jurídicas del Ministerio de Gobierno, debidamente inscrita en la Ficha C-1226, Rollo 304 e Imagen 37 de la sección de Micropelículas (Persona Común) del Registro Público de la República de Panamá. Asociación debidamente representada en este acto por LARISSA DEMEL ANGUIZOLA, mujer, panameña, mayor de edad, con cédula de identidad personal No. PE-12-1544, en su calidad de Presidente y Representante Legal de AIESEC EN Panamá (en adelante, “AIESEC EN PANAMA”). y 2. (En adelante, "El Entrenado", y en conjunto con AIESEC EN PANAMÁ, “las Partes”) CONSIDERACIONES

(A) AIESEC es una asociación civil, juvenil, sin ánimo de lucro que tiene por objeto promover el desarrollo social, cultural, económico y tecnológico en Panamá y otros países, facilitando oportunidades a Estudiantes y Egresados de realizar pasantías de intercambio cultural en oficinas de AIESEC y organizaciones del sector público o privado de Panamá y el extranjero. AIESEC no discrimina en base a raza, color, género, orientación sexual, credo u origen religioso, nacional, étnico o social.

(B) La misión de AIESEC es contribuir al desarrollo de los seres humanos y la constitución de la paz

Non-profit association recognized by the Ministry of Government and Justice #658 resolution of October 23, 1981, registered under the number 139 on December 10, 2010 in the Ministry of Government, duly registered in the Microjacket C-1226, reel 304 and image 37 of section of microfilms (common people) from the Public Registry of the Republic of Panama, association duly represented in this act by LARISSA DEMEL ANGUIZOLA, Panamanian, female, of legal age, with personal identification number PE-12-1544, in her capacity as President and Legal Representative of AIESEC IN PANAMA (hereinafter, “AIESEC IN PANAMA”) And 2. TRAINEE NAME Name], [gender], student, of legal age, [nationality], with passport number _________ of_________ Acting on his/her own behalf. (Hereinafter named “THE TRAINEE”, AND AIESEC IN PANAMA and THE TRAINEE are referred to herein collectively as the “Parties”) WHEREAS

(A) AIESEC is a civil, juvenile, non-profit organization that aims to promote the social, cultural, economic and technological development in Panama and other countries, providing opportunities for Students and Alumni internships cultural exchange in AIESEC offices and organizations the public or private sector of Panama and abroad. AIESEC does not discriminate on the basis of race, colour, gender, sexual orientation, creed, and religion, national, ethnic or social origin. (B) AIESEC’s mission is to achieve peace and fulfillment of human kind’s potential and. From its

(C) AIESEC brinda a sus miembros una experiencia de liderazgo experiencial a través de ofertas en los siguientes programas: Miembro de equipo, Líder de equipo, Intercambio Profesional e Intercambio Social.

(D) El Entrenado es un participante de intercambio de AIESEC en [País de Origen], que viene a Panamá para vivir su experiencia de Intercambio Social bajo este programa.

(E) Para contribuir a la realización de este intercambio, AIESEC EN PANAMÁ y El Entrenado firman el presente acuerdo.

Así, las Partes han llegado al presente acuerdo:

A. REPRESENTACIONES Y GARANTIAS Cada parte declara y certifica a la otra que: (Estado) Está debidamente constituida y existe legal y válidamente ante las leyes de la jurisdicción y comparece de forma libre dentro del presente acuerdo; (Capacidad) Tiene el poder y capacidad de (i) ejecutar el presente Acuerdo y (ii) ejecutar las obligaciones bajo este Acuerdo y ha obtenido todas las aprobaciones, consentimientos, resoluciones o ha tomado las demás acciones necesarias para la ejecución del acuerdo; (Obligatoriedad de las obligaciones) Las obligaciones bajo el presente acuerdo constituyen legal, válida y obligatoria voluntad, vigentes y exigibles de acuerdo con los términos contenidos en el presente acuerdo.

B. CONDICIONES GENERALES DEL CONTRATO

(E) In order to contribute to the realization of the Global Internship Program, AIESEC in Panama and THE TRAINEE will sign this agreement.

NOW, THEREFORE, the Parties have reached the following understanding:

A. REPRESENTATIONS AND WARRANTIES Each Party represents and warrants to the other Party that: (Status) It is duly organised and validly existing under the laws of the jurisdiction of its organisation and acts freely to enter this agreement; (Power) It has the power and capacity (i) to execute this Agreement, and (ii) to perform its obligations under this Agreement and has obtained all approvals, consents, resolutions or taken other necessary action to authorise that execution and performance; (Obligations Binding) Obligations under this Agreement constitute legal, valid and binding obligations, enforceable in accordance with the regulations herein.

B. GENERAL CONDITIONS OF THE AGREEMENT

C. CLÁUSULAS Las Partes identificadas celebran el Acuerdo, bajo las condiciones generales definidas y de conformidad con las siguientes cláusulas:

1. OBJETO DEL ACUERDO El objeto del presente Acuerdo es establecer el modus operandi, los principios rectores y las reglas para facilitar la participación del Entrenado en el Programa de Intercambio global dentro del comité local de AIESEC EN VERAGUAS, AIESEC EN PANAMÁ. 2. DURACIÓN El presente Acuerdo será de duración definida por un plazo fijo de [____] semanas efectivas desde la firma del presente acuerdo hasta el [Fecha de terminación de la práctica]. 3. OBLIGACIONES ESPECIALES El Entrenado se obliga a: a) Observar los reglamentos, códigos y políticas de AIESEC EN PANAMÁ y AIESEC Internacional y las disposiciones contenidas en la ley panameña; (b) Prestar el servicio a que se refiere la nota de aceptación; (c) Cumplir, en forma total y permanente, con las obligaciones relacionadas en los parágrafos de esta Cláusula. El cumplimiento de estas obligaciones es indispensable para el buen desempeño del cargo ocupado por El Entrenado y el incumplimiento de cualquiera de ellas, desde ahora, se califica como grave, pudiendo dar lugar a la terminación inmediata del contrato de acuerdo con las políticas internacionales de intercambio. PARÁGRAFO PRIMERO.- El Entrenado tratará en forma estrictamente confidencial toda información que llegue a su conocimiento relacionada con los asuntos y negocios de AIESEC EN PANAMÁ o La Organización y de forma expresa se compromete a guardar en el desempeño de sus funciones y fuera de ellas, la discreción, reserva y sigilo que exige la lealtad que le debe a AIESEC EN PANAMÁ o La Organización. Por lo dicho, se abstendrá de revelar en detrimento de los intereses de AIESEC EN PANAMÁ o La Organización, información confidencial o

C. CLAUSES The Parties execute the agreement, under the general conditions defined and in accordance with the following clauses: 1. OBJECT OF THE AGREEMENT The object of this Agreement is to set out the “modus operandi”, the overarching principles and governance rules to facilitate THE TRAINEE’s participation in the Global Community Development-Program within the Local Committee AIESEC iN Veraguas, of AIESEC in Panama. 2. DURATION This agreement will have a fixed term of [___] weeks, effective since its execution date and shall terminate [Final date of the internship]. 3. SPECIAL OBLIGATIONS The Trainee binds itself to: (a) Observe the regulations, codes and policies of AIESEC IN PANAMA and AIESEC INTERNATIONAL and Panamanian legal dispositions; (b) Provide the service to which the acceptance note refers; (c) To abide, in a total and permanent manner, with the obligations related in the paragraphs of this Clause. The compliance of these obligations is indispensable for the proper performance of the professional internship by The Trainee and the lack of compliance of any of these, from now on, will be qualified as severe, enabling the immediate termination of the agreement according to the international exchange policies.

FIRST PARAGRAPH. - The Trainee will treat in a strictly confidential manner all the information that may come to his knowledge related with the matters and businesses of AIESEC IN PANAMA, the Organization of practices and in express form, he undertakes to maintain in the performance of his functions and outside them, the discretion, reserve and secrecy that the loyalty he owes to AIESEC IN PANAMÁ and The Organization requires. Thus, The Trainee will refrain from revealing in detriment of the interests of AIESEC IN PANAMÁ and the Organization, confidential or secret information that may

secreta que llegue a su conocimiento en el desempeño de sus funciones o por fuera de ellas. Se aclara que los documentos, datos e información de todo tipo que se manejan en AIESEC EN PANAMÁ o La Organización tales como, pero no limitado a, secretos industriales, patentes e inventos, know-how (entendido como conocimiento no patentado) y software desarrollado o licenciado por AIESEC EN PANAMÁ o La Organización es material clasificado, y en consecuencia, El Entrenado tiene la obligación de mantenerlo en estricta reserva y de guardar la confidencialidad a la que se ha comprometido en todo momento, aún después de terminado el contrato. PARÁGRAFO SEGUNDO.- Es expresamente entendido por El Entrenado que todos y cada uno de los derechos patrimoniales incluyendo, pero sin limitarse a, los derechos de reproducción, distribución transformación, comunicación pública, derivados de invenciones, de obras protegidas por el derecho de autor, o en general de cualquier otra creación intelectual o know how técnico, métodos, procedimientos, planes y estrategias, entre otras, realizados u originados en desarrollo de un contrato son de propiedad exclusiva, irrevocable, incondicional y por la máxima duración permitida por la ley de AIESEC EN PANAMÁ o la Organización, que podrá explotarlos por cualquier medio y para el territorio “El Mundo”. 4. PROTECCIÓN DE DATOS El Entrenado por la presente declara que toda la información dada a AIESEC EN PANAMÁ es verídica, incluyendo pero sin limitarse a la información general provista por El Entrenado (como nombre, identificación, dirección, título académico, nacionalidad). El Entrenado certifica que no tiene ninguna discapacidad, enfermedad o trastorno mental, psicológico, físico o psicosocial o ninguna imposibilidad que le impida desarrollar las actividades descritas con el Job Description de La Organización. El Entrenado conoce y acepta expresamente que AIESEC EN PANAMÁ puede en cualquier momento poner sus Datos Personales a disposición de otras compañías del grupo en Panamá o en otros países. El Entrenado asimismo declara conocer y aceptar que la Organización puede requerir poner sus Datos Personales a disposición de las autoridades competentes (incluyendo autoridades fiscales), futuros aliados de AIESEC EN PANAMÁ o de cualquiera de sus activos o negocios, contables, auditores, abogados y otros asesores externos, ya sea

SECOND PARAGRAPH. It is expressly understood by The Trainee that every and each of the exploitation rights, not limited to the reproduction, distribution, transformation, public communication, inventions derivatives, works protected by copyright law, or in general any other intellectual creation or technical know how, methods, procedures, plans and strategies, among others, made or originated in development of an agreement, are property, exclusively, irrevocably, unconditionally and for the maximum duration permitted by the law, of AIESEC IN PANAMA or the Organization, which could exploit them by any way and for the territory “The World”. 4. DATA PROTECTION The Trainee hereby declares that all information provided to AIESEC IN PANAMA is truthful, including, but not limited to, general information of The Trainee (such as name, identification, personal address, academic degree, country of origin). THE TRAINEE certifies that he does not have any physical, psychosocial, physiological disability or disease or any impossibility which renders him unable them to carry out to develop the activities announced within the Organization's Job Description. The Trainee acknowledges and accepts expressly that AIESEC IN PANAMA may, at any time, make the Personal Data available to other companies of the group in PANAMA or in other countries. The Trainee also declares he acknowledges and accepts that AIESEC IN PANAMA may at any time make this Personal Data available to the competent authorities (including tax authorities), future allies of AIESEC IN PANAMA or of any of its assets or businesses, accounting, auditors, lawyers and other external advisors, whether they are located in Panama or

que estén localizados en Panamá o en otros países. 5. OBLIGACIONES DE LAS PARTES DEL ENTRENADO El ENTRENADO se compromete a cumplir a cabalidad con las siguientes obligaciones:

1. Cumplir con todos los requisitos de las leyes migratorias de Panamá que le sean aplicables y a asumir los costos de este cumplimiento. Esta obligación del Entrenado incluye, pero no se limita a: (i) suministrar la documentación requerida por AIESEC, (ii) asistir a las oficinas Servicio Nacional de Migración de Panamá y a cualesquiera autoridades panameñas pertinentes para ejecutar los procedimientos migratorios que sean necesarios, (iii) informar a AIESEC sobre cualquier viaje que vaya a realizar dentro o fuera del territorio panameño por la duración de la práctica social, y (iv) realizar cualesquiera otros procedimientos necesarios para cumplir con las leyes migratorias vigentes durante la práctica social y la vida del contrato. Queda entendido y convenido que el Entrenado deberá responder enteramente por cumplir con las leyes panameñas.

2. Contratar y mantener vigente una póliza de seguro internacional de salud por la duración de la práctica.

3. Cubrir los gastos relacionados con gastos de viaje, tiquetes e impuestos y tasas, pasaporte y documentación de visa si la requiere.

4. Mantener comunicación constante con el capítulo local de AIESEC EN VERAGUAS de AIESEC EN PANAMÁ respecto de su experiencia de intercambio internacional.

5. Satisfacer y ejecutar las actividades descritas en el Job Description de la Organización y el presente acuerdo con AIESEC EN PANAMÁ y atenderá los reglamentos de la Organización en donde ejercerá sus prácticas.

6. Salir del país sede de su actividad cuando su programa de intercambio internacional termine.

7. Mantener informados a La Organización y a AIESEC EN PANAMÁ, sobre los desplazamientos que realice fuera de la ciudad sede de su actividad, especialmente durante períodos de permisos remunerados o no remunerados. Queda entendido y convenido que el entrenado no tendrá

1. The TRAINEE shall fulfill the requirements of applicable Panamanian immigration laws and to pay for all expenses in connection with the compliance with Panamanian laws. The Trainee’s obligation includes but is not limited to: (i) provide the documentation required by AIESEC, (ii) attend the National Immigration Service of Panama or any other Panamanian authority as may be required in order to fulfill the necessary immigration procedures, (iii) to inform AIESEC of any travels to be done inside or outside Panamanian territory during the internship term, and to (iv) carry on with any other procedure necessary to comply with immigration laws required to comply with Panamanian immigration laws and regulations during the life of this agreement and during the effect of the International Exchange Program. It is understood that the Trainee shall be fully responsible for complying with Panamanian laws.

2. THE TRAINEE shall purchase and be covered by an international health insurance policy for the duration of the International Exchange Program.

3. THE TRAINEE shall cover the expenses related to the traveling fees, tickets and taxes, passport and visa documentation.

4. THE TRAINEE shall maintain constant communication with AIESEC IN PANAMA, LOCAL COMMITTEE AIESEC in Veraguas concerning to its international exchange experience.

5. THE TRAINEE shall fulfill the activities from the Organization Job Description and agreement signed with AIESEC IN PANAMA and will respect the internal regulations of the Organization where he will develop his internship.

6. THE TRAINEE shall leave the country of allocation once the international exchange program is over.

7. THE TRAINEE shall keep the Organization and AIESEC IN PANAMA informed of any travels made outside of the city of allocation, especially on paid or unpaid leaves. It is understood that the trainee will not have a holiday period.

DE AIESEC EN PANAMÁ AIESEC se compromete a cumplir a cabalidad con las siguientes obligaciones:

1. Asegurar la alimentación, hospedaje y transporte o a pagar la cuantía que cubra dichos gastos.

6. TERMINACIÓN UNILATERAL DEL CONTRATO Las siguientes faltas por parte del Entrenado, que para estos efectos se califican como graves, constituyen justas causas para la terminación unilateral del Contrato por parte de AIESEC:

a) Cualquier incumplimiento de las obligaciones establecidas en la Cláusula Tercera de este Contrato;

b) Cualquier incumplimiento o violación por parte del Entrenado de cualquiera de sus obligaciones legales, contractuales o reglamentarias o de una orden que le imparta AIESEC EN PANAMÁ o La Organización;

c) Prestar directa o indirectamente servicios laborales a otra u otras organizaciones o personas, o trabajar por cuenta propia en forma independiente;

d) Suministrar informaciones inexactas a AIESEC EN PANAMA o la Organización;

e) La revelación de secretos, información confidencial o datos reservados de La Organización o retirar, alterar o modificar información confidencial o bienes de AIESEC EN PANAMÁ o La Organización;

f) La ausencia injustificada a una sesión completa o parcial de la jornada de trabajo o más, a juicio de AIESEC EN PANAMÁ o La Organización;

g) Asistir al trabajo bajo efecto del alcohol, estupefacientes o ingerir bebidas o sustancias embriagantes o estupefacientes en el sitio de trabajo;

h) Sostener conflictos verbales o físicos que afecten el ambiente laboral con sus compañeros de trabajo;

i) Practicar juegos de suerte y azar en las instalaciones de AIESEC EN PANAMÁ o La Organización, o celebrar dentro de la misma con

OF AIESEC IN PANAMA AIESEC binds itself to the performance of the following obligations:

1. To cover for housing, food and transport or to pay the amount equivalent and destined to cover for such expenses.

6. UNILATERAL TERMINATION OF THE AGREEMENT The following offenses by the TRAINEE, which for these effects are deemed as severe, constitute just causes for the unilateral termination of the Contract by AIESEC:

a) Any breach by the Trainee of the obligations established in the third Clause of this agreement;

b) Any breach by The Trainee of any of the legal, contractual or regulatory obligations or of an order issued by AIESEC IN PANAMA;

c) The Trainee’s direct or indirect provision of labor services for another Organization or other companies or individuals or the Trainee’s work on his own account independently;

d) The Trainee’s provision of inaccurate information to the Organization;

e) The disclosure of secrets, confidential information and reserved data or if the Trainee removes, alters or modifies confidential information or goods of AIESEC IN PANAMA or the Organization;

f) The non-justified non-attendance to a complete or partial working schedule or more, without an excuse deemed sufficient by AIESEC IN PANAMA or the Organization;

g) The Trainee’s arrival to work under the influence of intoxicating beverages or substances or drugs, or the Trainee’s consumption of intoxicating beverages or substances or drugs at the work place;

h) Verbal or physical conflicts between the Trainee and his colleagues affecting the Trainee’s workplace environment;

i) Gambling or playing games of chance at or the Organization's facilities or entering into, with fellow employees or colleagues inside the Organization, money-lending contracts with payment of interests exceeding what is allowed by law;

j) To negotiate the products property of or the Organization or AIESEC IN PANAMA or to use said

k) Solicitar prestamos o ayuda económica a los clientes de AIESEC EN PANAMÁ o La Organización en provecho de su cargo, o aceptar donaciones que los clientes de AIESEC EN PANAMÁ o La Organización hagan sin previa autorización de La Organización;

l) Autorizar o ejecutar operaciones que no están comprendidas en el ejercicio de sus funciones y que afectan los intereses de AIESEC EN PANAMÁ o La Organización;

m) Utilizar el buen nombre de AIESEC EN PANAMÁ o La Organización o valerse de las labores encomendadas por ella, para emprender, respaldar o acreditar negocios o actividades comerciales del Entrenado;

n) Incumplir con las responsabilidades y funciones asignadas a su cargo;

o) Retirar de las instalaciones de AIESEC EN PANAMÁ o La Organización elementos, máquinas, útiles, papelería o cualquier material u objeto de propiedad de La Organización sin previa autorización por escrito de La Organización;

p) Retener dineros o hacer efectivos cheques girados a favor de La Organización o AIESEC EN PANAMÁ;

q) Incumplir con las políticas de ética y conducta de AIESEC EN PANAMÁ o La Organización;

r) Entregar u ofrecer cualquier dádiva a un funcionario público o empleado oficial con el ánimo de comprometer la ética profesional y la honestidad del funcionario público y que de manera directa o indirecta comprometa la responsabilidad de AIESEC EN PANAMÁ o La Organización y

s) La extralimitación u omisión del Entrenado en el ejercicio de sus funciones, así como el eludir el cumplimiento de las obligaciones que le corresponden u ocuparse de actividades distintas de las que le corresponden a su cargo durante la jornada de la práctica.

7. NO AGENCIA Las Partes declaran que ninguna Parte es agente ni representante de la otra para ningún propósito y que nada

l) To authorize or execute operations which are not included in the execution of his functions and affect the interests of AIESEC IN PANAMA or the Organization;

m) Using AIESEC IN PANAMA’S or the Organization's good name or the duties assigned by it, to start, support or credit businesses or commercial activities of The Trainee;

n) Failure to comply with the responsibilities and functions agreed;

o) To take away from the installations of AIESEC IN PANAMA or the Organization, elements, machines, utensils, stationary or any other material or object property of AIESEC IN PANAMA or the Organization without previous written authorization from AIESEC IN PANAMA or the Organization;

p) To retain money or cash checks drawn in favor of AIESEC IN PANAMA or the Organization;

q) The lack of compliance of ethical and conduct policies of AIESEC IN PANAMA or the Organization;

r) To deliver or offer any gift to a public official or official employee with the intention of comprising the professional ethic and honesty of the public official and that directly or indirectly compromises the responsibility of AIESEC IN PANAMA or the Organization; and

s) The extralimitation or omission of The Trainee on the performance of his functions, as well as the breach of his fulfillment of obligations or carrying out activities different from those proper to his position during schedule of the internship.

7. NO AGENCY No Party is the agent for the other Party for any purpose, and nothing herein shall create a partnership, joint venture, or

Ninguna de las Partes tiene la autoridad o el poder para contratar en nombre de, generar una contingencia en contra de la otra parte bajo ninguna circunstancia y por ningún motivo. Las Partes declaran y certifican que el presente no es un contrato de trabajo ni implica una relación laboral de ninguna clase debido a que es un acuerdo para el desarrollo profesional y personal del Entrenado de conformidad con las políticas internaciones de intercambios de AIESEC. Las Partes declaran que en el presente contrato se entienden incorporadas, en lo pertinente y en cuanto no se opongan a lo aquí estipulado, todas las disposiciones legales que regulan las relaciones civiles y especialmente las políticas internacionales de intercambios. El Entrenado declara que ha recibido un ejemplar de este documento, que lo conoce y que está en todo de acuerdo con los mismos. 8. SOLUCIÓN INTERNA DE CONTROVERSIAS Las Partes acuerdan que cualquier diferencia surgida con ocasión o en relación con el presente acuerdo, incluyendo cualquier duda frente a su existencia, validez o terminación deberá ser ventilada por escrito entre las Partes. Las Partes tendrán sesenta días (60) para llegar a una mutua resolución o acuerdo antes de poner el asunto en conocimiento de AIESEC Internacional. 9. ACUERDO TOTAL Y MODIFICACIONES El presente documento sustituye y deja sin efecto cualquier otro contrato o acuerdo, verbal o escrito, que las Partes hayan hecho con anterioridad. Cualquier modificación sustancial al presente documento deberá ser acordada por escrito entre las Partes. 10. IDIOMA Este documento tiene una versión en inglés y español. En el evento de cualquier conflicto privado o ante una autoridad judicial, prevalecerá la versión en español y tendrá todos los efectos legales. 11. CONSTANCIAS En constancia, de acuerdo con su contenido, se firma ante testigos el presente contrato, en dos (2) ejemplares

The parties certify that by this contract there is no employment agreement or labour relation of any kind, because the contract is meant for the professional and personal development of THE TRAINEE regarding EXCHANGE POLICIES OF AIESEC INTERNATIONAL. The parties declare that legal provisions that rule civil relationships and specially the international exchange policies, in all pertaining issues and all that does not contravene the terms stipulated herein, are understood incorporated to the present agreement. The Trainee declares that he has received a read copy of this document and that he completely agrees with such documents. 8. DISPUTE RESOLUTION The Parties agree that any difference or dispute arising under, or in connection with this Agreement, including any question regarding its existence, validity or termination, shall be addressed by the Parties by written notice. The Parties will have sixty days (60) to reach to a joint resolution or agreement before concerning the issue to AIESEC International.

9. TOTAL AGREEMENT AND AMENDMENTS This document replaces and leaves with no effect any other contract or agreement, written or verbal, previously entered into by the Parties. Any substantial amendment to the present document must be agreed in writing between the Parties.

10. LANGUAGE This document has an English and Spanish version. In the event of any private conflict or before a judicial authority, the Spanish version shall prevail and will have all legal effects. 11. ACKNOWLEDGEMENTS In witness whereof, according to its content, the present agreement is signed before witnesses in two (2) copies
