Durante el año 2002 el Banco de Inversiones, S.A (BdI) incrementó sus activos a USD 68,6 millones representando un 58% de incremento con relación al 2001 y 317% con

relación a 1999, siendo el resultado del reconocimiento de la comunidad bancaria por su privilegiada posición para intermediar en negocios financieros en Cuba.

BdI obtuvo además, utilidades por USD 1 351 971.99 en el 2002 superior a USD 1 174 198.94 obtenido en el año 2001 y superior a USD 373 245.01 obtenido en el año 2000, así

como un crecimiento en los índices de eficiencia y retorno.El Banco también entró en el Mercado de Capitales como agente de un préstamo

sindicado de 58 millones para la Corporación Cubana de Aviación (CACSA) conjuntamente con un sindicato de Bancos Europeos de primera clase y prestamistas

cubanos.Están previstos otros proyectos interesantes para el 2003, basados en una estrategia

institucional fuerte, que garantiza las relaciones con los clientes y la administración del riesgo, combinado con nuestra experiencia en el mercado cubano y el apoyo de la

comunidad bancaria.Confiamos en el aliento y el apoyo recibido de nuestros clientes, bancos corresponsales y nuestros trabajadores, por lo que estamos seguros que independientemente al deterioro existente en el ambiente de negocios en el mundo, el BdI está en condiciones de ofrecer

buenas oportunidades de negocios y asesoría para negocios en Cuba.

During 2002, Banco de Inversiones S.A.( BdI) increased its assets up to USD 68.6 million, representing a 58 % increase compared with 2001 and 317 % compared with 1999, being the result of the recognition by the banking community of its privileged

position to intermediate in financial business in Cuba.BdI also achieved a higher profit of USD 1 351 971.95 in 2002 compared with USD 1 179 198.94 in 2001 or USD 373 245.01 in 2000,as well as the growth in the rate of

return and efficiency of The Bank.The Bank also entered into the capital markets as co-arranger for a syndicated loan of $ 58 million for the Cuban Corporation for the Aviation (CACSA) together with a pool of first class European banks and Cuban lenders. Other interesting projects will

follow in 2003, based on a very strong institutional strategic consistency to support the customer relationship and risk management, combined with our expertise in the Cuban

market and the support of the banking community.We trust in the strong encouragement and support received from our customers,

correspondent banks and our own staff, so we are confident that despite the existing deterioration in the world business environment, BdI is in a position to offer good

business opportunities and advise for business in Cuba.

Los directores presentan su reporte y las cuentas del año terminado en 31 de diciembre de 2002

ACTIVIDADES Las actividades principales del banco

durante el año consisten en una amplia gama de servicios financieros y bancarios, entre los que cabe citar la elaboración de estudios para proyectos de desarrollo perspectivos, la concesión de créditos con estos fines, el montaje a terceros de esquemas de acceso a los mercados de capitales actuando el Banco de Inversiones como asesor y gestor externo, estructuración y manejo de un comité de acreedores, otras asesorías en proyectos de interés para la economía nacional.

The directors present their report and accounts for the year ended 31 December 2002

   ACTIVITIES

The principal activities of the bank during the year were the provision of a full range of banking and financial services, mainly finance projects for future development in certain areas of the national economy, granting of credits with this purpose, the structuring of schemes for access to the capital markets, acting BdI as external advisor and arranger, and , management of Creditors Committees, and other advisor activities in different areas of interest for the economy.

DECLARACIÓN DE LA RESPONSABILIDAD DE LOS DIRECTORES CON RESPECTO A LAS CUENTAS.

 Los directores han optado por preparar las

cuentas del año de forma tal que brinden una visión veraz y justa de la situación de los negocios de la compañía y de la ganancia o pérdida del período. Al preparar esas cuentas se requiere que los directores:

 Escojan las adecuadas políticas contables y

que las apliquen de manera consciente; se hagan juicios y realicen estimados que sean razonables y prudentes; indiquen si han aplicado las normas contables reconocidas, y que cualquier desviación sea debidamente reportada y explicada en las cuentas; y preparen las normas sobre la base de continuidad salvo sea impropio presumir que la compañía continuará operando.

RESPONSIBILITIES OF THE DIRECTORS IN RESPECT OF THE ACCOUNTS. 

The directors have elected to prepare accounts for each financial year which give a true and fair view of the state of affairs of the company and of the profit or loss for that period. In preparing those accounts, the directors are required to:

 

Select suitable accounting policies and then apply them consistently; Make judgements and estimates that are reasonable and prudent; State whether applicable accounting standards have been followed, subject to any material departures disclosed and explained in the accounts; and prepare the accounts on the going concern basis unless it is inappropriate to presume that the company will continue in business.

Los directores han asumido la responsabilidad de que los registros se lleven de forma apropiada, que muestren con razonable certeza, y en cualquier momento, la posición financiera de la compañía y que les permita asegurarse de que cumplen las exigencias de la ley. The directors assumed responsibility for keeping proper accounting records which disclose with reasonable accuracy at any time the financial position of the company and to enable them to ensure that the accounts comply with the law. They are also responsible for safeguarding the assets the company and for taking reasonable steps for the prevention and detection of fraud and other irregularities.

NOTAS AL BALANCE GENERAL Y ESTADO DE RESULTADOSNOTES TO THE BALANCE SHEET AND INCOME STATEMENT31/12/02

El Banco de Inversiones S.A, a partir de Octubre del 2001 dejó de pertenecer al Grupo Nueva Banca S.A., al traspasar 6000 acciones al accionista Bancholding S.A., siendo este último desde ese momento el accionista mayoritario al poseer 6908 acciones y Nueva Banca 192, manteniendo la entidad su objeto social.

 ACTIVIDAD La actividad fundamental del Banco

de Inversiones S.A., prevista en la Escritura de Constitución es:

Banco de Inversiones, S.A. separated itself from the group “Nueva Banca S.A.” since October 2001, 6000 shares of the Bank were passed to the shareholder “Bancholding S.A.”, who became the mayor shareholder from that very moment. Actually Bancholding S.A. has 6908 shares and Nueva Banca S.A. 192. BdI keeps its “social object”.

  ACTIVITY The principal activity of BdI, stated in

the Constitution’s Deed is the following:

- Realizar negocios bancarios de todo tipo y especialmente los relacionados con el financiamiento y/o administración de las inversiones.

-Captar fondos y otorgar créditos por cuenta propia o sindicados.

-Promocionar proyectos de inversión y realizar búsquedas de oportunidades de inversión por instrucción de sus clientes.

-Asesorar en materia de banca de inversión y bursátil, tales como: compra o venta, reestructuración o reorganización de empresas, titularización de activos, subastas investigaciones sobre bolsas y mercados financieros externos, realización de estudios para evaluar el impacto financiero de decisiones estratégicas, diseño y montaje de fondos de inversión.

-Brindar servicios de ingeniería financiera, de consultoría en materia económica y financiera, asesoramiento sobre elaboración de presupuestos, estudios de factibilidad, servicios contables y estadísticos, evaluación de resultados económicos y utilización de recursos financieros inmovilizados , previo cumplimiento de los requisitos legales vigentes.

- To take funds and to grant credits on its own on or syndicated.

- To promote investment projects and find investment opportunities at it’s clients instructions.

-To advise in investment bank themes as sell/acquisition, restructuring and reorganization of enterprises, securitization, investigations on the burses and financial markets, studies to calculate the financial impact of strategic decisions, design and organization of investment funds.

-To grant financial engineering services, advising on economics and finances, budget activities, feasibility studies, statistics and accounting services. Evaluation of economic results and utilization of immobilized financial assets under legal regulations on forth.

-Participar como agente y realizar operaciones de reestructuración, administración y compras o ventas de deudas.

-Valorar entidades mediante el uso de métodos de evaluación para la compra, venta, fusión o reestructuración de estas.

-Participar en la administración de entidades.-Realizar operaciones de fideicomiso y

administración de fondos.-Establecer y mantener relaciones oficiales

con las entidades extranjeras de seguro de crédito oficial a la exportación, previo análisis y aprobación caso a caso por el Banco Central de Cuba.

-Adquirir o vender títulos valores y participar en las diversas modalidades de inversiones directas.

-Admitir en depósitos acciones, obligaciones y otros valores en los términos y condiciones que quiera establecer, según las disposiciones legales vigentes.

-Administrar el Sistema Electrónico de Descuentos de Efectos Comerciales

( SEDEC) estableciendo con sus clientes los términos y condiciones del servicio.

-Elaborar y editar publicaciones especializadas sobre banca de inversión y las finanzas.

-To issue obligations by itself or on someone’s else account, and to structure securities operations

-To value enterprises using different methods of valuation for the acquisition, sell, merger or restructuring.

-To take part in the administration of entities.

-To make trust operations and administration funds operations .

-To establish and to maintain official relations with foreign export credit institutions, with the approval and analysis, one by one, of the Banco Central de Cuba.

-To buy and sell securities and to take part in the different types of direct investment.

-To accept shares, obligations and other securities in deposit, in the terms and conditions decided by the bank, in accordance with the legal environment.

- To administrate the Commercial Papers Discount System ( SEDEC) establishing terms and conditions of use.

The directors assumed responsibility for keeping proper accounting record which disclose with reasonable accuracy at any time the financial position of the company and to enable them to ensure that the accounts comply with the law of our country.

ACTIVOS FIJOS TANGIBLES Y DEPRECIACIÓN

 Los activos fijos tangibles se registran

según su costo, cuando se adquieren en otras monedas son convertidos en dólares estadounidenses al tipo de cambio del día de la compra.

 El valor de los activos fijos tangibles se

amortiza atendiendo a las tasas de depreciación que establecen las regulaciones vigentes.

CONVERSIÓN DE MONEDA Los activos y pasivos monetarios se

convierten en dólares estadounidenses de acuerdo a los tipos de cambio oficiales en vigor al cierre del período Contable.

Las ganancias o pérdidas resultantes se reportan de forma neta en el Estado de Resultado.

 

TANGIBLE FIXED ASSETS AND DEPRECIATION TANGIBLE FIXED

ASSETS AND DEPRECIATION

Fixed assets are recorded at their cost; when acquired in other currencies they are converted into US dollars at the prevailing rate of exchange on the day of purchase.

 The value of the tangible fixed assets is

amortized taking into account the depreciation rate established in the regulations in force.

CURRENCY CONVERSION

At the end of the accounting period, monetary assets and liabilities are converted according to the prevailing official rates of exchange.

 The result profit or losses is reported

net in the Income Statement.
