President’s report

In 2011, SENER’s professionals made an extraordinary eff ort which, once again, has allowed us to achieve excellent results and to continue investing in all of our areas so that the Group may continue its positive growth trends in the future.

I must start by mentioning that we have not been aided by our environment. In the fourth year of the worst economic crisis of our lifetimes, Spain has seen an absolute nosedive in public calls for tenders for engineering services, sluggish private investment across the board and very serious diffi culties with regards fi nancing, and even with regards outstanding Government payments. This situation means that the sector is experiencing grave diffi culties and competition is reaching new heights of aggression, with the acceptance of fi nancial risks and conditions that were unthinkable just a few years ago.

The fi scal year’s fi nancial results can once again be said to be excellent, exceeding the already very good results obtained in 2010. If we consider our consolidated accounts, operating income has increased 8.8%, from 1.066 billion Euros in 2010 to 1.160 billion Euros in 2011, while operating profi t has risen 27.1%, from 71.4 million Euros in 2010 to 90.7 million Euros in 2011. EBITDA reached 145.7 million Euros and the parent company’s after-tax earnings were 80.3 million Euros, this last fi gure showing a slight increase when compared with 2010.

SENER Annual report 2011 • 5

Of the fully operative subsidiaries — SENER Ingeniería y Sistemas, ITP, the three pig manure treatment units, Zabalgarbi and Hisdesat — all except for Tracjusa have exceeded their forecasts for the fi scal year and the latter has also obtained earnings that are more than satisfactory, at 8.4% over sales.

It gives me especially great pleasure to mention that we have closed the year with a work force of 5,251 people, an increase of 157 over the space of the year.

I believe these very satisfactory results are thanks to our ‘3i strategy of Innovation + Internationalization + Investment’. Reviewing the main projects that are currently underway, as well as the new contracts that have been secured recently, it can be seen that nearly all of them involve technologies in which we have developed innovative advantages in recent years. This is the case of the low pressure turbines for aeronautical engines, the cryogenic facilities for liquefi ed natural gas, the thermosolar and biomass energy plants, the FORAN ship design and construction system, the extremely reliable, high-precision mechanisms for space applications, the high speed train systems, etc.

These same technological innovations and advantages have helped open the door to major international projects, either directly or because they position us as desirable partners in joint ventures that strive to obtain large engineering contracts worldwide. Our internationalization is not, however, just a matter of these clearly diff erentiated cases, as SENER is also continuing to extend its foreign network and nurture its local divisions in selected countries. These divisions are essential for allowing us to provide the personal service demanded by our clients, and they are also a source of talent that enriches our Group. In 2011, the percentage of sales outside Spain was fi ve points lower than in 2010 due to the large amount of work carried out on Spanish solar thermal projects, but the bulk of the year’s new contracts were for foreign projects, meaning that this percentage will once again show a strong increase as from 2012. This is, without a doubt, a very important challenge for our organization, which is transforming at a rapid rate in order to improve its operational effi ciency in a market that will soon be completely international.

With regard to investments, mention must of course be made of the beginning of production of Torresol Energy’s three solar thermal plants. In the spring, the commissioning

operations and tests were completed for Gemasolar and production offi cially began. Since then, the plant has been running very satisfactorily, exceeding the production levels forecast in the developmental stage on several days. Although greater regularization of the operations is still needed, the experience of the fi rst few months allows us to be optimistic about achieving the expected levels of power generation. In December, Valle 1 and Valle 2 also passed their offi cial commissioning tests, with construction of the two plants completed slightly ahead of schedule. Altogether, these three plants represent the largest investment in SENER’s history, an investment that adhered to the promised budgets and schedules and which, as from 2012, will make a signifi cant fi nancial contribution to the Group.

Aeronautical investment in 2011 was in line with that of previous years, with a total of 50.2 million Euros invested in the new engine programs and R&D and 17.5 million Euros for material investments, mainly dedicated to increasing production capacity. Furthermore, ITP has made fi nancial investments amounting to 10.5 million Euros, mainly to increase its stake in the PCB foundry by 20%, bringing it up to 80%.

In 2012 and in subsequent years, we will maintain the same 3i strategy that is giving us such good results, even in the diffi cult environment that characterizes Spain today. We can be sure that our outlook for 2012 is by no means negative. Altogether, Engineering and Construction contracts during 2011 totaled EUR 645 million, being very similar to the sales fi gure. The order portfolio was therefore practically stable throughout the year, allowing us to begin 2012 with relative peace of mind. Although it is true that we will soon require new orders — this is always the case with engineering — it is also true that we are generating a very high number of large off ers in all areas. In Aeronautics, it seems that the problems of the main new programs that aff ect us — Boeing 787, Airbus 380 and A400 M — are being overcome, and that the growth in production of engines for these aircraft will gradually generate larger volumes of sales and work for ITP. In Energy and Environment, the launch of the three solar thermal plants will in itself lead to a very signifi cant growth in sales and cash fl ow.

This does not mean that we will be immune to the negative eff ects of the economic climate. It will be diffi cult to obtain the necessary Engineering and Construction contracts, as competition is extremely tough, and the implementation of projects will be especially demanding, both due to the commercial conditions imposed by the market and due to the

growing geographical complexity of our operations. Therefore, if we wish to remain competitive we cannot be overly cautious in developing our business, which means we will probably see somewhat decreased margins.

ITP also has some very diffi cult objectives, with a Defense area seriously aff ected by budget cuts and operations subject to constant incidents in civil programs that repeatedly hinder the effi ciency improvement plans that are underway.

However, if we cannot be conservative as regards sales, we will certainly be cautious with our fi nances, if necessary sacrifi cing some of the new investments we had included in our growth plans. In some cases we will have to abandon certain developments, at least temporarily, due to external factors that have been imposed upon us. For example, in 2012, SENER was expecting to launch a project for generating power from biomass, something that is not viable without the incentives established for this type of technology by the Special Regime. The Spanish Government has recently published the Royal Decree-Law 1/2012, which abolishes the pre-assignment of subsidies for new investments in renewable energy, meaning that our only option is to postpone or abandon initiatives of this type.

We will, on the other hand, continue investing, aggressively, so in technological developments in all areas of the Group. Thus, in 2012, the R&D budgets for Engineering and Aeronautics have increased by 37% and 45%, respectively, compared to 2011. Technology is what allows us to maintain our relatively privileged position today and it will be technology that helps us to overcome the diffi culties we face in the medium and long term.

I began this report by referring to the extraordinary work done by the people at SENER in 2011. To conclude, I will return to the same idea as the basis for a certain degree of optimism, in spite of all of the uncertainty we face. We have the privilege of being able to count on a team of exceptionally well qualifi ed and highly integrated professionals who will, without a doubt, know how to overcome the diffi culties we encounter along the way.

bopropulsores, S.A.

SENER is a private engineering and technology

group with a growing international presence. As

well as continuing to work in its original fi elds

of Engineering and Construction, over recent

years the Group has promoted and developed

new areas of industrial business in the Energy

and Environment sectors and the Aeronautic

industry through companies in which SENER

generally has majority shareholdings.

SENER Ingeniería y Sistemas, S.A. is

responsible for the Group’s Engineering

and Construction area activities. It is one of

Spain’s leading engineering companies, with

divisions in four continents. In this subgroup,

the corporate changes that took place in 2011

included, fi rstly, the recent creation of a division

in Busan (South Korea), which has begun to

provide services to our FORAN system clients

in the region; and secondly, the purchase of

a majority shareholding in the Portuguese

engineering fi rm Engivia, of which SENER

already owned 49%. This move gave us a 100%

shareholding in the company, whose activities

will be combined with those of SENER’s Lisbon

division, thus extending SENER’s capacities

both in the local market and in Portugal’s

other areas of infl uence, particularly in civil

engineering.

In the Aeronautics area, SENER is the majority

shareholder of Industria de Turbopropulsores,

S.A. (ITP), the only Spanish producer of

aeronautical engines and gas turbines. A

notable variation in the structure of this division

is its increased holding in the precision foundry

subsidiary, Precicast Bilbao; it now owns an

80% share as the result of a capital increase

to which the minority shareholder did not

subscribe.

The work of all of the companies in the Energy

and Environment area is based on technologies

and processes developed in the Group which

have been promoted by SENER. Without a

doubt, the fi rst milestone of 2011 came in May,

with the launch of commercial operation of

the 19.9 MWe solar thermal plant Gemasolar.

The facility belongs to Torresol Energy and

SENER was responsible for providing 100%

of the design engineering and technology, as

well as for managing the construction and

commissioning works. The plant, with its

unique heliostat fi eld, central tower receiver

and long-lasting molten-salt heat storage, will

generate 110 GWh/year, which is enough to

power more than 27,000 homes. Shortly after

its commissioning, Gemasolar achieved 24

hours of non-stop operations at full power, an

accomplishment never reached before by a

solar thermal plant.

Meeting both the deadlines and budgetary

forecasts, the twin solar thermal plants

Valle 1 and Valle 2, at 50 MWe and with

parabolic trough collector technology, also

entered commercial operation in December

2011 when they were connected to Spain’s

electricity grid. Furthermore, these two

Torresol Energy units use technology

developed by SENER, which also supplied all of

the engineering and managed the construction

and commissioning works.

Throughout 2011, SENER made headway in

promoting a 30,000 t/year regeneration plant

for used lubricant oils which is to be built in Rio

de Janeiro in Brazil. To this end it has created

the Brazilian company RRF P.A.E., Ltda., in

which SENER has an 80% stake. The new

company will be the majority shareholder of

the new facilities with a 51% holding, with the

remaining 49% belonging to Petrobras. This

is an excellent opportunity for the lubricant

recycling technology developed and patented

by SENER to be used for a second time.

04.2.1 Engineering and Construction

The Aerospace Unit satisfactorily met the

objectives set for 2011, in spite of the fact that

the economic crisis and budgetary problems

of the Spanish Government have obviously

aff ected all of the institutional programs in

which SENER is involved, both in the areas of

Space and Defense. The keys to these good

results lie in the Unit’s increasing participation

in international programs and consortiums and

in the acquisition of higher level responsibilities

in certain programs.

In the Earth Science and Observation program

of the European Space Agency (ESA),

SENER has concluded the functional and

environmental trials of the fl ight models of

important pieces of equipment and systems

that have already been incorporated into

their respective satellites. These include the

sunshield and refocusing mechanism of

the ESA’s astrometry telescope GAIA, the

radar unfolding system on Sentinel 1 and the

calibration mechanism for the multispectral

instrument of Sentinel 2. With regards the GSTP

technology program, SENER was confi rmed

as the main contractor of the formation fl ying

mission Proba-3. This is the fi rst time that

a Spanish fi rm has led a full ESA mission.

In terms of non-European projects, SENER

delivered the high-gain antenna gimbal of the

Mars Science Laboratory mission rover to

JPL-NASA and with Roskosmos it launched the

ISIS project for the development of an ultraviolet

observation camera, the main scientifi c

component of the World Space Observatory

(WSO) satellite. Finally, mention must be made

of the important advances in other projects

that are underway, such BeppiColombo, which

successfully passed the preliminary design

review; SEOSAT, with the verifi cation and

delivery of the structural model; and Meteosat

Third Generation, with the development model

for the scanner of the main instrument, the FCI

(Flexible Combined Imager) camera.

In September 2011 in Sweden, the tests for the

RBS 70 NG system for Saab Dynamics were

successfully completed, with SENER acting as

the design authority and sole supplier for the

stabilized mirror unit on the sight. The Meteor

has progressed with its qualifi cation and

diff erent units have been submitted for in-fl ight

tests.

At the end of the year, SENER, together with

INAER, was awarded the contract for the

modernization program of the Spanish Navy’s

seven AB212 helicopters, which will extend

their operational lifespan for at least another

15 years. The contract marks the beginning of

collaborations for this type of service with the

Spanish Navy and opens up interesting export

opportunities.

With regard to Aeronautics, in the fi eld of

advanced tools, SENER has maintained

its collaboration with Airbus. This was

consolidated with the delivery of the automatic

production lines for the stringers on the

wing skins of the A350 XWB aircraft for the

production plants in Stade (Germany) and

Illescas (Spain), and for the Horizontal TailPlane

(HTP) for the plant in Getafe (Spain). Likewise,

services and supplies are underway for the

company Strata from Abu Dhabi, with the

delivery of several tools for the manufacture of

ailerons for the A330 and A340 aircraft.

In 2011, the prototypes of the innovative

Hector and Paris systems were validated.

These systems are used for cleaning the

heliostats and parabolic trough collectors,

respectively, of solar thermal plants. Both of

them are characterized by their ability to work

autonomously, which minimizes operational

costs and enhances safety, as well as their

high quality of cleaning that optimizes the

plant’s productivity and greatly reduces water

consumption.

The subsidiary NTE-SENER has completed

the design and begun the industrialization of

AUTOPLAK, a system for the automatic sample

inoculation and streaking of Petri dishes in

microbiology laboratories.

de ellos el segundo túnel ferroviario más largo de España y el décimo del mundo;

In Civil Engineering and Architecture, 2011

was characterized by the severe crisis in the

civil engineering sectors of our traditional

markets, Spain and Portugal. This forced

SENER to step up its search for opportunities

elsewhere, mainly in the fi elds of urban and rail

transport, where the company has especially

advanced and diff erential technologies.

Likewise, several business opportunities have

been developed with private clients, mainly

construction companies and concession

operators. These changes are necessitating a

fundamental rethink of SENER’s way of working

in order to create optimum conditions for

exploiting new opportunities. It is interesting to

note that more than half of the hours worked in

2011 were for projects overseas, while in terms

of contracts, almost 80% were for international

projects. This is a dramatic change of aff airs,

as just two years ago these fi gures were barely

30%.

SENER was awarded the partial project for the

tunnels of the Pajares bypass, one of which is

the second longest rail tunnel in Spain and the

tenth in the world; it drew up the construction

project for the Los Mayorales-Almeria section

of the High Speed Mediterranean Corridor;

and it secured the contract for supervising the

project and works of the Morelia rail bypass

in Mexico. Likewise, SENER was awarded the

engineering contract for the tunnel of the

very high voltage electrical interconnection

between Spain and France, the fi rst line for the

transport of energy between two European

Union countries. Furthermore, SENER drew

up the detailed project for the signaling and

communications for the Albacete-La Encina-

Alicante section of high-speed railway line, a

contract that was awarded on a Public Private

Partnership (PPP) basis.

In the fi eld of international urban transport, the

Odebrecht-FCC consortium entrusted SENER

with the detailed design work for Line 1 of

Panama’s metro. SENER was also responsible

for drawing up the project for the Oran metro,

a study consisting of a 17 kilometer-long

underground line and a total of 20 stations.

Furthermore, an extension was made to the

independent supervision contract for the

stations and civil engineering of the tram in

the new city of Lusail in Qatar. In Spain, work

began on drawing up the construction project

for the La Concha-Morlans section of the San

Sebastian metro, which includes the stations

of Centro-La Concha and Easo. Lastly, SENER

has continued to consolidate its role in critical

safety work. In particular, on Barcelona metro’s

Line 9, the company has prepared a global risk

analysis for each of the facility’s subsystems.

SENER will supervise the project and

construction of two highly specialized medical

units that form part of the modernization

process underway in Mexico City’s Hospital

General, one of the largest hospitals in the

world.

In Power and Process, during 2011 SENER

focused its activities on engineering and

turnkey projects, also consolidating some

important new developments, especially in

Energy and Environment.

Concerning conventional power generation,

2011 saw the successful commissioning of the

Bicentenario combined cycle power station in

Cordoba, Argentina. Development continued on

other projects, including the turnkey contract

for the Agua Prieta combined cycle power

station in Mexico and engineering work for the

combined cycle stations Termozulia II and III

in Venezuela. SENER was also awarded and

began work on the project for the Cerro Dragón

combined cycle station in Argentina.

In solar thermal plants, a fi eld in which SENER has

a world-renowned technological advantage, work

on a large number of projects continued in Spain

and the USA. Firstly, one of the most important

events was the commissioning of the three

Torresol Energy projects, the Gemasolar plant

in Seville, and Valle 1 and Valle 2 in Cadiz. Design

and construction of two plants (Termosol 1

and 2) also continued for Florida Power & Light

(FPL) in Spain, as well as another two 140

MWe plants in California. SENER has almost

concluded the turnkey construction projects for

four solar parks: Aste 1A and 1B, Soluz Guzmán

and Consul-Orellana. The contracts have been

signed and construction work has begun for

new solar fi elds for the projects La Africana

and Villena, and work is underway for the

development of a solar thermal project in India,

for the company Lanco. An ambitious sales

initiative has been implemented to introduce

solar thermal technology into new countries,

especially South Africa, Morocco and Chile.

In Liquefi ed Natural Gas (LNG) mention

must be made of the especially successful

completion of the turnkey contract for the Gate

terminal storage and regasifi cation unit, in

the port of Rotterdam in the Netherlands. The

unit, which was constructed in the consortium

within TS LNG, is one of the largest facilities

of its kind in Europe and has received an

award for the best project of 2011 from the

European Construction Institute and has

also been named as the Liquefi ed Natural

Gas Project of the Year by the European Gas

Conference Awards. Work also continued on

the engineering and construction turnkey

projects to increase the storage capacity of the

LNG terminal in the port of Sagunto (Spain),

as well as on the projects for the design and

construction of the land-based plant for the

Castor strategic gas storage facility in Vinaroz,

Castellon (Spain). In terms of new contracts,

one that is especially worthy of mention is

the awarding of the new LNG storage and

regasifi cation marine terminal belonging to

the company EDF in Dunkirk, France, where

SENER, once again in consortium with Techint,

will develop the turnkey project until its

commissioning in 2015. Towards the end of

the year, an extension was also signed for the

turnkey project for BBG’s LNG terminal in the

port of Bilbao (Spain), with the addition of a

third tank.

In petroleum, SENER has completed the

engineering and purchasing and construction

project of the Naphtha Sulfur Reduction unit

for the Repsol refi nery in La Coruña (Spain),

as well as the services for modifi cations to the

Petronor refi nery in Muskiz, Biscay (Spain),

which will allow for the conversion of heavy

products into light ones. In December 2011,

work was completed on the catalytic reforming

plant in the Pemex La Cangrejera refi nery in

Veracruz, Mexico, where SENER carried out the

turnkey project. Work has also moved forward

on the new port facilities for BP Oil in the port of

Castellon, the basic extended engineering for

the hydrodesulfurization of diesel in the Pemex

refi neries in Tula and Salamanca (Mexico), and

engineering work on the marine terminal in

Tuxpan, also in Mexico.

In the Marine sector, the industry continues

in the throes of the serious crisis that began

in 2010 and that has had especially dramatic

eff ects in Europe. SENER has stepped up its

sales eff orts in Asia, but without neglecting

opportunities in America and Europe that allow

it to maintain its client base. Overall, it has been

a diffi cult year, except for the fact that military

naval construction has led to some large orders

being placed.

In Marine Engineering, SENER signed its

fi rst contract for services in China with the

project for a modern fi shing trawler for China

Ship Development and Design Center. It

also secured a contract to develop the basic

engineering for fl oating wind turbine supports

for Iberdrola Renovables, after previously

carrying out the conceptual engineering

work. Lastly, another important area of work

during the year was the headway made on the

engineering and modernization project for the

Argentine Navy’s icebreaker Almirante Irízar.

In the Marine Systems business line, a major

eff ort has been put into developing the FORAN

System, including its integration with product

lifecycle management (PLM) tools, which

are of vital importance in the military naval

construction fi eld.

In fact, the most important FORAN projects

in 2011 were carried out within the military

naval sector. This is the case of BAE Systems,

which has already used it on the project for

the Queen Elizabeth class aircraft carrier and

is currently beginning to use it for the design

and construction of the Successor submarines.

Likewise, Navantia has applied it to the projects

for the S-80 class submarines and the Spanish

Navy’s new series of Maritime Action Ships

(BAM, from their name in Spanish), while it

is also being applied to the ship ALHD and a

series of twelve landing craft for the Australian

Navy. In addition, the Brazilian Navy once again

made notable use of FORAN in 2011.

In Asia, a SENER subsidiary company has

been set up in South Korea, which, together

with the subsidiary in Japan, will help to off er

satisfactory services to the continent’s marine

clients. SENER is also soon to establish a

presence in China. This region’s growing

importance for FORAN was confi rmed by new

orders in 2011: Sanoyas, the main FORAN

client in Japan, has extended its use of the

system to all its projects. FORAN has been

implemented by the engineering companies

Oakwell, in Thailand, and Marine CADCAM, in

Singapore. Finally, it is important to note that

there continues to be considerable revenue

from FORAN in Russia, both for military naval

construction and for commercial purposes.

04.2.2 Aeronautics

In 2011, ITP, as a partner in the main engine

programs for the large two-aisle aircraft that are

currently under production (Trent 500, 700, 800,

900 and 1000) and development (Trent XWB),

supplied them with 235 low pressure turbines.

In the business aviation market, last year saw

a large diff erence in behavior amongst the

diff erent products. The trend towards recovery

and growth shown by aircraft of a larger size and

range, which began in 2010, was consolidated

with a signifi cant increase in new orders and

deliveries, supported by growth in emerging

countries and the recovery of results in large

corporations. However, smaller aircraft are still

being severely aff ected by the economic crisis

and the lack of fi nancing. In this segment of

the business aviation market, ITP continued to

supply modules for the HTF7000 and TFE731

engines, with volumes similar to those of 2010.

Governmental programs have been

signifi cantly aff ected by budgetary diffi culties,

especially due to Defense cuts and the lack of

major new programs.

As for the projects carried out in partnership

with ITP, some signifi cant events were the EASA

certifi cation for the TP400-D6 engine, the

delivery of the 100th EJ200 engine to the Spanish

Air Force, and Eurojet’s participation in the export

campaigns for India, Korea, Japan and Oman.

Over the course of 2011, ITP delivered 131

engines for Defense programs, a similar volume

to that of the previous year.

Aero-derived industrial turbines used for power

generation showed some recovery in 2011 as

compared to 2010 levels, especially due to

growing demand from emerging countries.

With regards marine applications and those

for the production of petroleum and gas, the

market also performed well thanks to the

growth in production of ships and platforms, as

well as off shore crude oil extraction equipment.

During the last fi scal year, ITP delivered 184

turbine modules for the LM2500 and LMS100

programs, representing a year-on-year increase

of 20%. In response to this positive outlook,

some large manufacturers such as Rolls-

Royce and General Electric made signifi cant

acquisitions, as was the case with Tognum and

Dresser, respectively.

2011 was especially diffi cult for the service

support sector. The use levels of fl eets, both

those used for defense and civil helicopters,

continued to be much lower than those

recorded before the crisis. The main causes

of the decreased activity are budget cuts,

the eff ects of the economic crisis and the

subsequent policies developed by operators

to postpone engine services for as long

as possible. In some cases, spare engines

have been used or series of parked aircraft

purchased to replace existing ones. Similarly,

the demand for replacement parts remained

low, pressure on prices remained high and

maintenance requests were more limited.

ITP continued to make the necessary

investments to consolidate its facilities in

Albacete, Mesa, Malta and West Sussex, which

are dedicated to helicopter engine maintenance

and repair.

The overall level of activity in terms of the

manufacture of new parts remained constant

in ITP during 2011, reaching 524,000 hours:

395,000 hours of component production in the

Zamudio plant and 129,000 hours of module

assembly in the Ajalvir plant.

In Zamudio, 26% of the total work was carried

out on defense programs, mostly on the

EJ200 (24%). Regarding civil programs, the

client breakdown remained stable: RollsRoyce

represented 50% of the total, with 48% thereof

from the Trent family, while the remaining 26%

was divided among several manufacturers such

as GE, PW, SNECMA and EPI.

The Ajalvir assembly plant delivered 386 Trent

modules to Rolls-Royce. They were faced with

some extraordinary diffi culties in order to fulfi ll

these delivery commitments, as the Japanese

tsunami in March interrupted the supply of

several components that were produced there.

Also in Ajalvir, eleven EJ200 engines and seven

LMS-100 power turbines were delivered, and

work for the instrumentation and assembly

of development modules was carried out for

the TXWB, T1000, TP400, T900 and MTR390

programs.

During the fi scal year, signifi cant increases

were seen in the operational productivity and

quality fi gures as a result of the production

improvement and reorganization programs

launched in recent years. For example, there

was a 25% reduction in the time taken to

manufacture discs and 15% in the time spend

on NGVs. With regards axes and casings

for the LM2500 program, there was a 17%

improvement compared to 2010. This growth

in productivity, together with the new industrial

capabilities, means that the increase in volume

required by some programs can be met. For

example, in 2011, 60% more Tail Bearing

Housings (TBHs) were produced than in 2010,

at a rate of six units per week.

The same work methods have been followed in

the acquisition of new technologies, following

the strategy established at the end of 2010. Of

nes, etc. -, que está dando importantes frutos.

special importance was the development of

new aerodynamic items, which were tested with

prototypes at the Aeronautical Technologies

Centre, allowing for the verifi cation of the

behavior of the technology as applied to

the Trent-XWB, and making progress in new

solutions for future turbines. Similarly, progress

has been made in the research into mechanical

technologies applied to radial structures, a

fi eld in which ITP is currently a world authority,

with results that have been applied to the

developments of the Trent 1000 and XWB.

Lastly it is important to highlight the growing

eff ort dedicated to research into materials

and manufacturing technologies - welding,

mechanization, automation, inspections, etc. -

that are giving signifi cant results.

04.2.3 Energy and Environment

It may be said that 2011 was a great year

for Torresol Energy, a year marked by the

commissioning of its three solar thermal plants

in Spain, which were completed according to

the established budgets and deadlines and

which, in the initial trials, exceeded all of the

forecast capacity and production targets.

The launch of commercial operations at

Gemasolar, located in the municipality of

Fuentes de Andalucía in Seville (Spain), was in

itself an enormous landmark for the entire solar

thermal industry, as it implemented, for the fi rst

time ever, high-temperature central receiver

technology with very long-lasting molten-

salt heat storage systems. This technology,

developed by SENER over the course of

several years, off ers the solar thermal sector

a solution that boasts very high performance,

fl exibility and stability in terms of energy supply,

with the ability to maintain production at full

power for more than 15 hours after sunset.

Gemasolar has thus become a fl agship for the

industry, especially because it also provides

a technological solution whose costs may fall

more rapidly in the future. A few months after

beginning production, Gemasolar was offi cially

inaugurated in a ceremony presided over by His

Majesty the King of Spain, Juan Carlos I, and

His Royal Highness Sheikh Mohamed bin Zayed

Al Nahyan, Crown Prince of Abu Dhabi.

In December 2011, Torresol Energy also

commissioned the twin plants Valle 1 and

Valle 2, located in San José del Valle, in

Cadiz, each of which runs at 50 MWe and

is equipped with SENERtrough parabolic

trough collector technology and a molten

salt heat storage system. Construction was

fi nalized on budget and two months ahead of

schedule. Likewise, the commissioning tests

were concluded satisfactorily before the end

of 2011. These plants also use prototypes of

the new SENERtrough 2, as well as the single-

tank thermal storage system, both developed

by SENER. Once operational trials have

been completed, these solutions will provide

signifi cant cost reductions for future parabolic

trough collector solar thermal plants.

04.2.3

España, Don Juan Carlos I, y Su Alteza Real Sheikh Mohamed bin Zayed Al Nahyan,

Torresol Energy has actively continued its

search for new investment opportunities in

solar thermal energy, with several projects in

advanced phases of development in Spain, the

USA and Abu Dhabi.

Tracjusa, Valpuren Bañuelo and Valpuren

Comatur, the Group’s three pig manure

treatment plants based on our VALPUREN®

process, ran very smoothly over the course

of 2011. Together they treated 282,406 tons

of manure, 94.1% of their joint maximum

treatment capacity, which represented a 5.7%

increase on the previous year. The fertilizer

produced from the manure reached 12,039

tons, 2.9% more than in 2010, and was all sold

within the Spanish market, where it is a very

popular product.

The treatment of livestock waste through

biodigestion generated 3.25 million m3 of

biogas, thus avoiding the need to purchase

the equivalent amount of natural gas for

cogeneration. In total, 407.8 GWh of electrical

power was generated, practically the same

as in the previous year, with an average 94%

availability of the installed electrical capacity.

Comparing the fi nancial and production results

of these three plants, it is possible to see the

advantage of Valpuren Bañuelo and Valpuren

Comatur, commissioned in 2009, as compared

to Tracjusa, which has completed its tenth year

of operations. The thermal production of the

former two plants reached 67%, compared

to 61% at Tracjusa. Despite this signifi cant

diff erence, Tracjusa maintains an especially

healthy bottom line by providing operating

and maintenance services to VAG, S.L.,

another plant that uses the same VALPUREN®

process. Its experience in the area of anaerobic

codigestion has allowed it to increase its

production of biogas by more than 50% and

this technology will soon be applied to the other

two plants.

On 31 December 2010, Zabalgarbi annulled

VTR’s contract for the operation and

maintenance of its plant, taking direct control of

its management. With this move, the evaluation

of the plant’s availability and operational results

has been much better than in previous years.

For more than 7,500 hours of operations, the

plant has exported 683 GWh to the grid, 8.8%

more than in 2010, and it has treated 226,000

tons of urban waste, 2.7% more than in 2010,

with performance levels that clearly exceed

those recorded in the past.

During 2011, the company dedicated a

large amount of eff ort to improving control

procedures and continuing to optimize costs,

and it continued to make sound decisions

regarding hedging against price changes.

The combination of these good operational

results with a successful policy of hedging

against electricity and gas prices has allowed us

to obtain fi nancial results substantially above

those of 2010. Over the course of the year,

progress was made in the studies, procedures

and management processes for doubling

Zabalgarbi’s current capacity through the

construction of the second line of the process.

However, the quantity of waste available in the

province of Biscay does not currently justify the

need for this second line.

Towards the end of 2011, SENER had several

projects in advanced stages of development

in Spain in the Energy and Environment area.

As well as some new solar thermal plants,

development was focused above all on units for

generating biomass energy, an area in which

SENER has developed some highly effi cient

technological processes. However, given

Spain’s electricity system’s high overcapacity,

in January 2012 the Government ordered a

freeze on the Register for Pre-Assignment of

Remuneration, thus impeding the registration

of any new power generation project as part of

the Special Regimen. Investment prospects in

these projects has therefore been postponed

indefi nitely, which is why SENER is focusing its

eff orts on increasing its investments outside

Spain, beginning with the lubricant recycling

project in Rio de Janeiro, in partnership with

Petrobras.

Growth is all about improvement, and innovating to perfect our products and the way in which we make them. In a more radical sense it is also discovering, inventing, and giving birth to new ideas. Growth means breaking away from routine and nurturing a climate that favors progress and permanent creation; it requires a spirit of inquiry, both informed and communicative, that constantly questions what we could do better and how we could change the status quo. The best way for us to grow is through self-improvement.

This spirit should guide the minds of executives, professionals and offi ce staff , laboratory and workshop technicians, academics and students, all of whom are involved in the demanding task of channeling their eff orts. It should awaken in them a true thirst for knowledge and spur on not only their reason but also their intuition. This spirit confi rms the words of Don Quixote: [they may] “deprive me of good fortune, but of courage and resolution they never can.” This is something we have told ourselves in SENER time and again since the company was founded.

5.1Innovar es perfeccionarseInnovation leads to perfection

SENER understands innovation as a process of continuous improvement that allows us to off er our clients products and services that are constantly improving, more effi cient and frequently exceed their expectations.

Innovation is the main pillar of SENER’s 3i strategy of Innovation, Internationalization and Investment, as it is the foundation upon which the others are based. It is the origin of the diff erences and technological advantages that give us repeated success in international markets, even in those where we do not have a stable, consolidated presence, and the factor that allows us to form alliances with the foremost engineering and construction groups in the world. Innovation is also what drives the Group’s investments, all of which are based on technological initiatives or processes conceived of by the Engineering area.

The demands of constant innovation are especially high in Aeronautics, where every new turbine project sets out to achieve signifi cant improvements in terms of consumption, weight, emissions, noise, reliability and cost compared to the previous one, and where these demands are translated into solutions that will result in the introduction of new, state-of-the-art technology.

In Energy and Environment, the key factor for competitiveness lies in our capacity to off er technology that continuously reduces the cost of renewable energy, a process that requires persistent research and development and signifi cant investments in demonstration programs, whether they be pre-competitive or commercial. The feedback obtained from the operation of our own plants is an invaluable source of new ideas for improvement.

05.1.1

clientes (75%).

Hemos trabajado en más de 140 pro-

yectos de I+D+i, que abarcan campos

de actividad de lo más variado: energías

renovables, nuclear, gas natural, espacio,

We have worked on more than 140 R&D&i

projects in such diverse fi elds as renewable

energy, nuclear, natural gas, space, aeronautics,

vehicles, defense, biomedical devices, and

marine or rail systems, amongst others. Of all

of these however, it is important to highlight

the advances made in solar thermal power

generation, a sector in which we have clearly

consolidated our position as the global leaders

of this technology.

It must also be noted that in 2011, SENER

Ingeniería y Sistemas, S.A. obtained AENOR

certifi cation for its R&D&i system, in

accordance with UNE 166.002 regulations.

In Aeronautics, 2011 brought some key

milestones for ITP when it received fl ight

certifi cation within its design and development

programs for three of its main products: the

TP400-D6, which propels the A400M military

transport aircraft; the MTRI-390E, installed in the

Eurocopter Tiger HAD helicopter; and the Trent

1000 (Pack B) for the Boeing 787. Meanwhile,

development has also continued on the low-

pressure turbine for the Trent XWB engine, which

will propel the future Airbus 350, as well as the

design of several modules and components for

other new programs. Altogether, these projects

represented an investment of over 50 million

euros in 2011; an enormous eff ort that has

consolidated the position of ITP in the area of

aeronautical engines that has the greatest future

potential.

There has also been a notable increase in

investment for basic research and for the

acquisition of new technologies, out of which

62% corresponds to new projects aimed at

reducing greenhouse gasses and the noise of

next-generation aeronautical engines.

SENER has continued to explore new

technologies and processes for the

development of its Energy and Environment

area. It is worth highlighting the innovations

achieved in several thermodynamic cycles to

harness the energy of the fl ue gases resulting

from the combustion of waste and biomass, as

well as in technologies for the anaerobic

codigestion of organic material to produce

biogas, and in agricultural experimentation to

develop energetic crops with high productivity

and low costs, lines of research in which over

two million Euros have been invested.

Torresol Energy and the other companies that

make up the Energy and Environment subgroup

have continued with their improvement

development programs aimed at optimizing

operations, increasing power generation and

reducing maintenance costs. Approximately

20% of the people who work in the area

were actively involved in the technological

improvement projects carried out in 2011.

5.3.2 Internal recognitions:

SENER Innovation Awards and Safety on

Construction Site Awards

For another consecutive year, SENER’s Engineering and Construction Area presented its internal Innovation Awards and Safety on Construction Site Awards. The fi rst gives recognition to products or processes with diff erent technological characteristics or applications from existing ones. The second rewards the actions of those people who make the most relevant and direct contribution to reducing the number of accidents at the sites where SENER is responsible for safety, with the aim of achieving zero accident rates in all of them through the ongoing improvement of health and safety in the workplace.

In 2011, the Innovation Award was given to the team responsible for designing the molten-salt receptor for central tower solar thermal plants, an innovation that has revolutionized this energy sector.

The Safety Awards, on the other hand, gave recognition to the work carried out in the Extresol 2 solar thermal plant, for managing to reach a total of 1,200,000 hours with exceptionally low accident rates both in terms of frequency and severity.

SENER recognizes its employees’ ability to

contribute by fostering their professional

development and individual initiative.

Furthermore, it also encourages their

leadership and management ability, in addition

to technical excellence and innovation. The

company has continuous development plans to

build on these aptitudes and maintain the high

level of training required for all its professionals.

Engineering and Construction dedicated 35,051

hours of training during working hours for this

purpose, with staff participation at 71.55%

for the 1,381 courses given, which involved an

expense equivalent to 1.57% of the company’s

total wage bill. The equivalent fi gures for

ITP were 45,828 hours of training over 643

courses, attended by 5,412 employees, with an

investment of 1.3% of salary costs. The majority

of the training was focused on technical

training (38%) and occupational safety (26%).

Torresol Energy and the other companies in the

Energy and Environment area invested 2.1% of

their salary expenses in training, with special

emphasis on workplace safety and on operating

procedures for the plants. A good indicator of

the eff ort as a whole is the fact that Torresol

Energy has dedicated more than 23,000 hours

to training over the past year.

SENER has collaborated with various

universities through scholarship programs, and

149 students in their fi nal year of studies have

undertaken internships with the diff erent Group

companies.

Due to SENER’s increasing international

presence, and the consequent growing number

of professionals that have been assigned to jobs

outside their original offi ce, a team has been

formed in order to fl exibly and comprehensively

manage the support required for people who

have been transferred.

This eff ort is continued by extending the

corporate people policies to all offi ces that

are part of the Engineering and Construction

area. Once again, we have passed the annual

audit that reviews SENER’s certifi cation as an

Empresa Familiarmente Responsable (EFR) or

Family-Responsible Company.

6.3ComunicaciónCommunication

In 2011, the communication activities agenda

included the exceptional event of the opening

of the Gemasolar plant. This offi cial ceremony

counted with the presence of two royal families,

from Spain and the United Arab Emirates,

which, along with the project’s technological

innovation, piqued the interest of media from

around the world, including the BBC, CNN,

Forbes, and Le Figaro, in addition to the interest

of media that specializes in renewable energy.

2011 also saw the presentations of the 2011-

2013 Strategic Plans for the SENER Group,

SENER Ingeniería y Sistemas, the SENER

Energy and Environment Area, Torresol Energy,

and ITP (in this case it was the 2011-2015

Plan), which were organized and carried out

internationally and featured participation from

the President and top executives.

As part of ITP’s 2011-2015 Strategic Plan,

the company has implemented a plan to

strengthen, renew, and unify the corporate

image of the whole Group, based on its

traditional logo and the slogan ‘the strength of

talent’. The ITP Group is thus moving towards a

single, common brand.

2011 was also the fi nancial year in which the

SENER Foundation’s new website was launched

7.1Calidad, seguridad y medio ambienteQuality, safety and environment

normas ISO 9001, ISO 14001 y OSHAS 18001.

In 2010, all the companies in the Engineering

and Construction area were brought into

SENER’s integrated Quality system, in

accordance with the ISO 9011, ISO 14001 and

OHSAS 18001 standards. In 2011, three new

certifi cations were obtained: the AQAP/PECAL

2210 standard on Software Quality, part of the

general AQAP/PECAL 2110 standard, and the

aeronautics industry-specifi c certifi cates for

maintenance (EN 9110) and supply activities.

Over the course of last year, we also continued

to implement the Quality Improvement Plan,

which saw most activity in project execution

assessment and in the technical disciplines

standardization process.

In Aeronautics, ITP renewed its EN9100,

EN9110, PECAL/AQAP 2110 and ISO 9001

certifi cation. Also, having satisfactorily passed

all the relevant audits, all the approvals awarded

by the Civil Authorities were maintained. In

manufacturing, Non-Quality Costs fell by

32% compared to 2010, and easily met the

improvement objectives that had been set.

The Quality Escapes were slightly above

the benchmark values, but were still at very

competitive levels. In maintenance, the Turn-

Around Time (TAT) achieved a fall of 39% in

comparison to 2009 fi gures.

In Energy and Environment, Torresol Energy

continued with its development and application

of procedures that will lead to compliance with

the requirements of the ISO 9001, ISO 14001

and OHSAS 18001 standards in operations and

maintenance of its solar thermal facilities. In

late 2011, the company underwent preliminary

auditing to assess its management systems,

with the objective of certifying all its plants

in the months ahead. The results were

satisfactory, and this will make it viable for

Torresol Energy to achieve OHSAS 18001 and

ISO 14001 certifi cation in 2012.

Valpuren Bañuelo and Valpuren Comatur

also began drawing up the internal policies

and procedures needed to comply with the

requirements of the ISO 9001, ISO 14001 and

OHSAS 18001 standards. The certifi cation

audits of the plants will be conducted in 2012.

In terms of Workplace Health and Safety,

Engineering and Construction consolidated

Europea.

at reducing accident rates. These measures

already produced very good results from the

time they were implemented and they are now

being reinforced through the standardization

process. Because of these actions, in 2011 the

serious injury index for all the civil projects as

a whole was 0.75 and in the industrial area was

0.18, while the Spanish average was around 1.43.

ITP conducted the annual audit to review the

OHSAS System and renewed the OHSAS 18001

certifi cate in Occupational Health and Safety,

which is the most stringent standard of its

kind in Europe. ITP also achieved its internal

corporate goal, with an incident rate (number

of accidents leading to sick leave/number of

workers x 100) of 0.49, which is well below the

fi gure of 1.00 that was set as the goal for the

year. There were no fatal accidents in the ITP

Group during the entire year.

It is also notable that ITP received subsidies

from the Basque Government for two R&D

projects in risk prevention; one of these was

related to training in Prevention, an activity in

which ITP invested 3,000 hours training 2,000

students over the course of 2011.

In 2011 there were no accidents among Torresol

Energy’s employees, nor any environmental

incidents in the company’s facilities. Accident

rates at the Gemasolar, Valle 1 and Valle 2 sites

were 60% of the industry average in 2011.

Audits in health, safety and the environment

have continued, verifying company compliance

with its own high standards and with current

legislation, in order to foster a culture of

prevention and respect for the environment

throughout all the sites.

When it comes to environmental management,

there has been progress in the standardization

of procedures that cover the entire life cycle

of SENER projects. There have been no

signifi cant environmental incidents in any of the

Engineering and Construction area sites.

Thanks to the Gemasolar plant project, SENER

was awarded the European Business Awards

for the Environment 2011 (Spanish and Basque

Country Sections) in the category Process for

Sustainable Development in a Large Company.

These prestigious awards bear the mark of

the body that organizes them: the European

Commission.

In 2011 ITP maintained its Integrated

Environmental Authorization unchanged.

At the Zamudio production plant, which

is regulated by the Integrated Pollution

Prevention and Control Directive (IPPC), some

modifi cations were introduced that were not

considered signifi cant by the Authorities. ITP’s

environmental management system is certifi ed

to EMAS III (the European Eco-Management

and Audit Scheme) and ISO 14001 standards.

In the context of its Annual Environmental

Program, ITP has achieved a noticeable

reduction in its environmental impact: a 1%

cut in CO2 emissions and a 7.7% reduction

in paper consumption, compared to 2009.

Environmental impact criteria are being

incorporated into our products’ design and

in order to achieve this, an environmental

impact analysis of the entire lifecycle of the

low-pressure turbine in the T900 engine was

conducted, in accordance with international

standards ISO 14040 and ISO 14044, and in

collaboration with the Ecodesign Lab at Bilbao’s

Higher School of Engineering.

Each and every person in Torresol O&M

received more than 400 hours of training

courses in 2011 in topics relating to Health and

Safety, the Environment and other technical

aspects of their work.

There were no incidents relating to quality,

safety or the environment at the Tracjusa,

Valpuren Bañuelo and Valpuren Comatur waste

treatment plants. Overall safety rates clearly

exceeded the targets set.

been developed at the Polytechnic University of

Catalonia, and leads to a qualifi cation awarded

by this university. SENER’s Engineering and

Construction area and ITP have also developed

ETSII’s Aeronautical Intensifi cation course at

the University of the Basque Country.

07.2.2 Good working practice

SENER, as part of its philosophy and core

values, rejects any behaviors that lie outside

its strict code of business ethics. It also

demands strict compliance with national and

international laws and regulations, from itself,

its subsidiaries and every single one of its

employees. These aspects are regulated by

SENER’s ‘Code of Conduct’ which prohibits,

for example, any business that could be

considered bad practice or that confl icts with

the interests of the Group and/or its clients,

or any actions that involve inappropriate

treatment of confi dential information. Any

behavior deemed to violate this Code is

considered an off ence that seriously aff ects

SENER’s staff and the company’s image,

reputation and assets.

07.2.3 Donations

The SENER Group is keenly aware of the

fi nancial and social needs around us, especially

at this time, when fi nancial diffi culties have

forced many companies and organizations to

reduce their donations.

With an overall budget of more than 711,000 Euros,

several university programs have been funded in

institutions relating to engineering, cultural and

sports projects and also social aid actions.

In several of these cases, the company’s

fi nancial donations are accompanied by

voluntary work on the part of our employees.

On some occasions, employees have also

made fi nancial donations, such as for ITP’s

‘Charity Initiative’ program, which led to a joint

donation (50% by the company and 50% by

the employees) of 19,156 Euros for three water

access projects in Congo and Benin, which will

benefi t more than 30,000 people.

There have also been non-fi nancial charity

donations, such as for the Red Cross’s

Christmas Toy Collection and the Operation

Kilo campaign for food donations.

07.2.4 SENER Foundation

The SENER Foundation was set up a decade

ago by the Sendagorta family and SENER,

and its objectives include helping young

engineering graduates to develop their vocation

and improve their academic excellence. Its

main purpose is to provide scholarships for

postgraduate studies, which then lead to paid

internships at SENER, to help these young

professionals fi nd work in advanced technology

projects.

Over the course of 2011, the Foundation

awarded six new full scholarships to young,

talented engineers eager to further their

studies. They will all start their PhD or Master’s

programs in universities in Spain, Europe or

America.
