GARANTÍA DE DISPONIBILIDAD
Disponibilidad de servicio. El objetivo de ADmira en relación a la disponibilidad del servicio es del 99.9%
del tiempo de su periodo de pago. ADmira garantiza la disponibilidad y el pleno funcionamiento en un
99.00% del tiempo en los servicios de servidores, player, transfer y funcionalidades relativas al producto, sin
contabilizar las tareas de mantenimiento planificadas y cuestiones relacionadas al abuso de recursos o uso
no deseado en cualquiera de los servicios ofertados.
ADmira realizará todos los esfuerzos comercialmente razonables para alcanzar o sobrepasar los niveles
de servicio pactados. Si durante un periodo continuo de 6 meses ADmira no es capaz de proporcionar el
mencionado 99.00% de los niveles de servicio, el CLIENTE tendrá derecho a recibir un descuento por tal
circunstancia según la siguiente tabla de penalizaciones. La cantidad podrá ser deducida del importe a
pagar a ADmira en la siguiente factura en virtud del presente contrato. La cuantía puede ser calculada para
cada mes según la mencionada tabla (cálculos realizados tomando en cuenta un mes de 31 días) siempre
y cuando haya una afectación mayor al 1% del tiempo de emisión de cada player y el número de players
afectados sea mayor al 20% del total de players activos del CLIENTE en el momento del cálculo. Si la
disponibilidad durante un periodo de tres meses cualquiera es menor al 97.00%, el CLIENTE tendrá
derecho a cancelar el presente contrato por incumplimiento del mismo.

El nivel de servicio de ADmira se compone de dos servicios a monitorizar, la plataforma online y la emisión
de los players. El cálculo del tiempo de servicio disponible se compone de dos valores de disponibilidad, la
disponibilidad de la plataforma online y de la emisión de los players. El factor de la disponibilidad real se
calcula en base a la siguiente fórmula:

SERVICIOS DE MANTENIMIENTO
ADmira proporcionará mantenimiento sin coste adicional durante el periodo de vigencia del presente
contrato.
Las tareas de mantenimiento se planifican según el criterio de mínimo impacto en la actividad de nuestros
CLIENTES, que se basa en la medición de los tiempos de menor actividad global de nuestros sistemas de
Web Hosting y Servidores Dedicados pudiendo variar de un mes a otro. Sin perjuicio de lo dicho, ADmira se
reserva el derecho a llevar a cabo cualquier tarea urgente fuera de las tareas de mantenimiento que tenga
como objeto garantizar la prestación de los niveles de servicio adecuados por parte de los sistemas de
ADmira. En el caso de que la realización de dichas tareas haya sido notificada con antelación, los periodos
de no disponibilidad del servicio por esta causa no serán tenidos en cuenta a la hora del cálculo de los
niveles de servicio alcanzados.
Los fallos de software o hardware causados por intrusión de terceros, ataques de denegación de servicio y
servidores DNS quedan excluidos de la garantía de disponibilidad. Por otro lado, la garantía de disponibilidad
ofrecida por ADmira estará sujeta a la disponibilidad de los Data Centers de nuestro proveedor Amazon
Web Services en la región de useast1.
El tiempo de inactividad de los contenidos en las pantallas debido al mal uso por parte de los usuarios

finales (CLIENTE) no será contabilizado como tiempo de inactividad en el cálculo de descuentos, lo cual
incluye pero no se limita a Playlist mal asignadas, horario de emisión mal configurado, problemas de
hardware, problemas de conectividad, software instalado por terceros, suplantación de identidad o
instalaciones defectuosas. Además, se excluyen del tiempo de inactividad contenidos inadecuados o no
soportados por la plataforma. ADmira no ofrece ninguna garantía para aquellos formatos que el software
acepta pero pueden incluir código de terceros (SWF, Javascript, HTML, etc). ADmira no ofrece garantía
alguna sobre la correcta emisión de estos contenidos pudiendo estos llevar incrustado código malicioso o
de bajo rendimiento el cual podría afectar a la emisión normal del player. ADmira dispone de la
documentación necesaria (buenas prácticas para la programación de ActionScript) para poder utilizar este
tipo de contenidos sin riesgos para la emisión. Aun así, el seguimiento de las buenas prácticas no asegura
al 100% una emisión libre de errores.
Ante la pérdida de conexión entre el player y la plataforma online, el player seguirá emitiendo los contenidos
que hasta la fecha haya podido descargar. ADmira realizará todos los esfuerzos comercialmente
razonables para alcanzar o sobrepasar los niveles de servicio pactados delante de una desconexión. La
emisión seguirá su curso sin que la pérdida de conexión sea perceptible para la emisión del player.
La solicitud de descuentos por players afectados deberá realizarse en el plazo de 30 días desde la fecha de
la incidencia. El CLIENTE debe enviar un correo electrónico a la cuenta de [email protected] con el
siguiente asunto: “Compensación SLA nombre del proyecto”, incluyendo las fechas y horas que tuvo lugar
cada uno de los incidentes detectados así como los players afectados. El servicio técnico de ADmira será
el responsable de la investigación de la incidencia y proporcionará al CLIENTE un informe por escrito con
sus conclusiones. En el caso de conflicto o desacuerdo, ADmira se reserva el derecho a conceder o
denegar el descuento.
TAREAS DE MANTENIMIENTO
ADmira proporcionará mantenimiento del software proporcionado sin coste adicional durante el periodo de
vigencia del presente contrato.
REQUISITOS DE MANTENIMIENTO
Se proporcionarán los siguientes servicios de mantenimiento con relación al software, siempre y cuando la
cuenta del CLIENTE en ADmira esté en vigor.

SOPORTE DE PRIMER NIVEL
ADmira proporciona el siguiente soporte de primer nivel mediante atención telefónica (en el caso de licencia
Pro o Business únicamente) los servicios estarán disponibles para tipo de licencia Business 8 de la mañana a 20 de la noche de lunes a viernes (excepto festivos en la ciudad de Barcelona (España)). En
caso de tener licencia Premium el horario será 24/7. El resto de licencias no dispondrán de este servicio (Licencias Basic y Trial). En caso necesario, el personal de soporte de primer nivel derivará las
cuestiones críticas al personal técnico cualificado para su tratamiento.
SOPORTE DE SEGUNDO NIVEL
ADmira proporciona el siguiente soporte de segundo nivel para todos los tipos de licencias mediante
software de atención remota a usuarios (HelpDesk). Este servicio estará disponible las 24 horas del día los
365 días del año (24x7x365) mediante su página web http://soporte.admira.mobi o correo electrónico a la
dirección ([email protected]). En caso necesario, el personal de soporte derivará las cuestiones
críticas al personal técnico cualificado para su tratamiento.
MANTENIMIENTO Y ACTUALIZACIONES
ADmira se encargará del mantenimiento del software y proporcionará al CLIENTE todas aquellas
actualizaciones, mejoras, modificaciones o ampliaciones del mismo que no sean facturables como
“modificaciones” o nuevas funcionalidades. ADmira compartirá con el CLIENTE el análisis de la actividad
administrada mediante el software y el estudio de cualquier posible cambio en los requerimientos o la
funcionalidad del software.
Las notas de incidencia emitidas por el personal de soporte de segundo nivel serán atendidas con la mayor
rapidez por personal cualificado de ADmira, quienes se encargarán de la detección y corrección de los
posibles problemas, errores y defectos en el software que interfieran en su correcto funcionamiento.
OBLIGACIONES DE MANTENIMIENTO DEL CLIENTE:
El CLIENTE entiende y acepta que con el fin de que ADmira pueda proporcionar sus servicios de
mantenimiento, debe proporcionar lo siguiente:

El CLIENTE debe designar un contacto técnico y un contacto principal, quienes tendrán autorización para
solicitar y recibir servicios de mantenimiento en nombre del CLIENTE. El CLIENTE podrá cambiar sus
personas de contacto mediante notificación por escrito a ADmira.
El CLIENTE ofrecerá su total colaboración a las peticiones razonables de ADmira en cuanto a información,
personal y tiempo necesario para la prestación de los servicios de mantenimiento.
El CLIENTE pondrá a disposición de ADmira toda la información y ayuda razonablemente solicitada para la
detección, reproducción y posterior corrección de errores, problemas o defectos del software.
El CLIENTE llevará a cabo los procedimientos adecuados para el estudio de problemas que
razonablemente y de forma puntual ADmira especifique y ejecutará las actividades encaminadas a la
detección y corrección de problemas que ADmira pueda razonablemente solicitar.
El CLIENTE deberá estar al corriente de pago de las licencias en vigor con ADmira.
CLASIFICACIÓN DE ERRORES
ADmira clasificará todos los problemas, errores y defectos del software que el CLIENTE sufra según la
siguiente lista de definiciones basada en la gravedad del problema, error o defecto según sea su impacto en
el desarrollo de las tareas del CLIENTE. La clasificación de la gravedad de cualquier incidencia correrá a
cargo del personal competente de ADmira.
“Fallo crítico” hace referencia a una situación de emergencia que afecte a más del 20% de los players de
un CLIENTE y cause un impacto crítico al software o al hardware que imposibilite su normal
funcionamiento.
“Fallo importante” hace referencia a la avería de uno de los componentes de la red, servicios de
alojamiento web o aplicaciones que impida al CLIENTE o a sus usuarios finales la realización de
modificaciones en los servicios del portal web y que afecten como mínimo al 20% de los players de un
CLIENTE. Los fallos importantes se limitan a los siguientes elementos:
Player no disponible para el CLIENTE por culpa del software de reproducción y que no emite los
contenidos.

“Fallo menor” hace referencia a cualquier problema en el servicio que no sea un fallo crítico ni un fallo
importante. Incluye sin ningún límite cualquier fallo que pueda ser fácilmente evitable o soslayable por el
CLIENTE y no sea crítico para el normal uso del software. Por ejemplo:
No se muestran las estadísticas.
No se muestran los resúmenes.
El player no tiene conexión a internet
ADmira garantiza al CLIENTE que realizará todos los esfuerzos comercialmente razonables para atender
cualquier petición de servicio de mantenimiento que el CLIENTE haga debido al fallo, avería, mal
funcionamiento, defecto o no conformidad dentro de las 24 horas siguientes a la recepción de tal petición
vía HelpDesk (ticket de soporte desde el área de clientes).
PROCEDIMIENTOS DE DERIVACIÓN
• Fallo crítico – ADmira garantiza la resolución de cualquier fallo crítico en el plazo de las 24 horas
siguientes a la notificación de tal fallo por parte del CLIENTE. En el caso de que ADmira no sea capaz de
subsanar un fallo crítico en el plazo de los siete días laborables posteriores a su fecha de notificación por
parte del CLIENTE, el CLIENTE tendrá derecho a cancelar el presente contrato y al abono del 100% de las
tarifas del mes en curso.
• Fallo importante – ADmira garantiza que realizará todos los esfuerzos comercialmente razonables para
subsanar cualquier fallo importante en el plazo de 48 horas siguientes a la notificación de tal fallo por parte
del CLIENTE.
• Fallos menores – ADmira garantiza que realizará todos los esfuerzos comercialmente razonables para
subsanar cualquier fallo importante en el plazo 72 horas siguientes a la notificación de tal fallo por parte del
CLIENTE.
Exclusión de la garantía de los errores de programación: El CLIENTE acepta que aunque durante las fases
de desarrollo ADmira realizará todos los esfuerzos comercialmente razonables para evitar los errores de
programación, no se garantiza que el funcionamiento del software esté libre de errores o que el normal
funcionamiento del software no se vea interrumpido por causa de posibles defectos internos.

No obstante, ADmira corregirá cualquier defecto y realizará las modificaciones necesarias para adecuar
desde todos los puntos de vista el software a las especificaciones de rendimiento dispuestas en la
documentación, en consideración a las tarifas de licencia.
USO DE LOS DERECHOS DE IMAGEN
ADmira se reserva el derecho a promover, a través de su página web, todas las redes que utilizan su
plataforma de señalización digital, a través de la publicación de los textos y las imágenes de los lugares. La
instalación del software de ADmira implica la aceptación de este derecho de uso de la imagen y la marca
comercial de los clientes para promover la venta de su producto (software de señalización digital). Si un
cliente no desea aceptar esta condición, debe enviar una solicitud por escrito. En ningún caso ADmira se
hará cargo de responsabilidades legales o requerimientos de pago del uso de derechos de imagen para la
promoción de sus circuitos.

AVAILABILITY GUARANTEE
Service availability. The objective of ADmira in relation to the availability of the service is of 99.9% of the
time of the payment period. ADmira guarantees availability and full functioning 99.00% of the time in the
server, player, transfer and product related functionality services, not taking into account planned
maintenance tasks and issues related to resource abuse or unwanted use in any of the services offered.
ADmira will make all commercially reasonable efforts to reach or surpass the levels of service agreed upon.
If during a 6month period ADmira is unable to provide the aforementioned 99.00% level of service, the
CLIENT will have the right to receive a discount for such a circumstance according to the following table of
penalties. The amount may be deduced from the amount to be paid to ADmira in the next invoice of the
present contract. The amount may be calculated for each month according to the aforementioned table
(calculations made in relation to a 31day month) provided that there is an impact of more than 1% of the
time of broadcast of each player and the number of affected players is over 20% of the CLIENT’s total active
players at the time of the calculation. If the availability during a three month period is under 97%, the CLIENT
will have the right to cancel the present contract due to a breach in said contract.

ADmira’s level of service is made up of two services to be monitored, the online platform and the players’
broadcasts. The calculation of the time of service is made up of two availability values, that of the online
platform and that of the broadcast of the players. The real availability factor is worked out based on the
following equation:
MAINTENANCE SERVICES
ADmira will provide maintenance with no additional cost for the validity period of the present contract. The
maintenance tasks are planned according to the minimum impact on our CLIENT’s activity criteria, based on
the measurement of the least global activity of our Web Hosting and Dedicated Servers, which may vary
from one month to the next.
Notwithstanding the aforementioned, ADmira reserves the right to carry out within their reasonable discretion
any urgent task not within the maintenance tasks with a view to guaranteeing the provision of adequate
service levels of ADmira’s systems. If the aforementioned tasks have been notified beforehand, the
unavailability periods caused by such tasks will not be taken into account when calculating the levels of
service reached.
The software or hardware errors caused by third party intrusion, denial service attacks and DNS servers are
excluded from the availability guarantee. On the other hand, the availability guaranty offered by ADmira is
subject to the availability of our provider Amazon Web Services in the useast1 region’s Data Centres.
The time of inactivity of the contents on the screens due to the misuse by the CLIENT’s final users will not

be taken into account as inactivity time in the calculation of the discounts; this includes but is not limited to
badly assigned Playlists, badly configured broadcast schedules, hardware problems, connectivity problems,
software installed by third parties, identity theft or faulty facilities. In addition, contents that are inadequate or
not supported by the platform are excluded from the inactivity time. ADmira does not offer any guarantee
regarding the correct broadcast of contents in formats the software accepts but may include third party code
(SWF, JavaScript, HTML, etc.) for they may include malicious or low performance code which could affect
the normal broadcast of the player. ADmira can provide the necessary documentation (Good Practices for
ActionScript programming) to use this type of contents without broadcasting risks. Following good practices
does not ensure a 100% error free broadcast.
In the case of connection loss between the player and the online platform, the player will continue to
broadcast the contents it has been able to download up to that point. ADmira will make all the commercially
reasonable efforts to reach or surpass the levels of service agreed upon in case of disconnection. The
broadcast will continue its course without the connection loss being noticeable for the player’s broadcast.
The request for discounts on affected players must be filed within a 30day period from the day of the
incident. The CLIENT will have to send an email to the account [email protected] with the following
subject: “Compensación SLA – Name of the project”, including the dates and times when each detected
incident took place and the affected players. ADmira’s technical service will be responsible for investigating
the incident and will provide the CLIENT with a written report with the conclusions. In case of conflict or
disagreement, ADmira reserves the right to grant or
dismiss the discount.
MAINTENANCE TASKS
ADmira will provide maintenance of the provided software with no additional cost during the time of validity of
the present contract.
MAINTENANCE REQUIREMENTS
The following maintenance services will be provided in relation to software, provided that the CLIENT’s
account with ADmira is in effect.

FIRST LEVEL SUPPORT
ADmira agrees to provide the following first level support by means of telephone assistance (only in the case
of the Pro o Business licence) The mentioned services will be available for the Business licence from 8 in
the morning to 20 in the evening from Monday to Friday (Except bank holidays in the city of Barcelona
(Spain). For the Premium licence the timetable will be 24/7. This service will not be available to the
remaining licences (Basic and Trial licences). If necessary, the firstlevel support personnel will inform the
qualified technical personnel of critical issues for them to be addressed.
SECOND LEVEL SUPPORT
ADmira agrees to provide the following support for every type of licence through the remote user service
software (HelpDesk). This service will be available 24 hours a day, 365 days a year (24x7x365) through the
webpage http://soporte.admira.mobi or email address ([email protected]). If necessary, the support
personnel will inform the qualified technical personnel of critical issues to be addressed.
MAINTENANCE AND UPDATES
ADmira will be responsible of software maintenance and will provide the CLIENT with all its updates,
improvements, modifications or extensions that are not billable as “modifications” or new functionalities.
ADmira will share the analysis of the activity administered through the software and the evaluation of any
possible change in the requirements or the functionality of the software with the CLIENT.
Incident memos issued by the second level support personnel will be attended to as fast as possible by
ADmira’s qualified personnel, who will be in charge of the detection and correction of the possible problems,
errors and defects in the software that interfere in its correct functioning.
CLIENT’S MAINTENANCE OBLIGATIONS:The CLIENT understands and accepts that in order for ADmira to be able to provide the maintenance
services, the CLIENT must provide the following:
The CLIENT must assign a technical contact and a main contact, who will have the authority to request and
receive the maintenance services in the CLIENT’s name.

The CLIENT will be able to change the contact people through a written notification sent to ADmira.
The CLIENT will offer total cooperation towards all reasonable requests from ADmira regarding information,
personnel and time necessary for the provision of maintenance services.
The CLIENT will make all reasonable information and help requested available for the detection, playing and
subsequent correction of errors, problems or software defects.
The CLIENT will carry out the adequate procedures for the study of problems which ADmira reasonably and
exceptionally specifies and will execute the tasks directed to the detection and correction of problems
ADmira can reasonably request.
The CLIENT must be up to date in the licence payments with ADmira under the current fees.
ERROR CLASSIFICATION
ADmira will classify all problems, errors and defects of the software the CLIENT suffers according to the
following list of definitions based on the seriousness of the problem, error or defect depending on its impact
in the development of the CLIENT’s tasks. ADmira’s appropriate personnel will be in charge of the
classification of the seriousness of any incident.
“Critical failure” refers to an emergency situation affecting more than 20% of a CLIENT’s players and
causing a critical impact to the software or hardware which makes the normal functioning of the software
impossible.
“Important failure” refers to the breakdown of one of the network’s components, web hosting services or
applications that prevent the CLIENT or the final users from making modifications In the services of the web
portal and that affect a minimum of 20% of a CLIENT’s players. Important failures are restricted to the
following elements:
Player not available for the CLIENT because of broadcasting software and will not broadcast the contents.
“Minor failure” refers to any problem in the service which is neither a critical failure nor an important
failure, and, with no limits, includes any problem that can be easily prevented or avoided by the CLIENT and
is not critical for the normal use of the software. For example:

Statistics are not viewable.
Summaries are not viewable.
The player has no internet connection.
ADmira guarantees to the CLIENT that all commercially reasonable efforts will be made to attend to any
maintenance request of the CLIENT due to the failure, breakdown, malfunction, defect or nonconformity
within the 24 hours after receiving any such requests through HelpDesk. (support ticket from the customer
area).
REFERRAL PROCEDURES
• Critical failure – ADmira guarantees the resolution of any critical failure within the following 24 hours after
the notification of such failure from the CLIENT. If ADmira is not able to repair a critical failure in the next 7
working days after the CLIENT’s notification date, the CLIENT will have the right to cancel the present
contract and to the payment of 100% of the rates of the current month.
• Important failure – ADmira guarantees that all commercially reasonable efforts will be made to repair any
important failure in the 48hour period after the notification of such a failure from the CLIENT.
• Minor failures – ADmira guarantees that all the commercially reasonable efforts will be made to repair any
minor failure in the 72hour period after the notification of such a failure from the CLIENT.
Programing errors excluded from the guarantee: The CLIENT accepts that even though during the
development phases ADmira will make all commercially reasonable efforts to avoid programming mistakes,
error free functioning of the software and normal use of the software without interruptions due to possible
internal defects are not guaranteed.
However, ADmira will correct any defect and will make the necessary modifications in order to adapt, from
all possible points of view of the software, to the efficiency specifications in the documentation, in
consideration of the licence fees.
USE OF IMAGE RIGHTS
ADmira reserves the right to promote, through their webpage, all networks that use their Digital Signage

platform, through the publishing of texts and images of the locations. The installation of ADmira’s software
implies the acceptance of this right of use of image and commercial brand of clients to promote the sale of
their product (Digital Signage software). If a client does not wish to accept this condition, a written request
must be sent. In no case will ADmira accept the legal responsibilities or payment requirements for the use of
image rights for the promotion of its circuits.
