1. ANTECEDENTES La variedad de mandarina Nadorcott, nombre oficial de registro de propiedad y/o patente, es también conocida como W. Murcott en países donde no tiene un estatus de protección, como es el caso del territorio de Chile. En particular Europa, la variedad sí cuenta con un registro de protección vigente, por tanto cualquier otra denominación varietal diferente a Nadorcott no es aceptada en este territorio.
Conviene aclarar que la denominación varietal no es lo mismo que la marca comercial, corresponden a dos materias de propiedad intelectual distintas e independientes entre sí. De esta forma, en el caso de esta variedad su denominación varietal correspondiente es Nadorcott, conforme a su protección UPOV1. Sin embargo, hay empresas que asocian o utilizan marcas comerciales sobre la venta de la variedad. , tales como: Afourer (EU), Delite (USA), Clemengold (EU), entre otros. Independiente del uso de marcas comerciales, es obligatorio el uso de la denominación de la identificación varietal de una variedad, en este caso NADORCOTT.
Así mismo, en el caso de Europa, tanto la venta de plantas como la comercialización de fruta de la variedad exigen la acreditación y pago de los royalties correspondientes cuando alguna de estas tiene efecto dentro del territorio de la Unión Europea. Para mayor claridad, en Chile se cultiva la variedad W. Murcott, pues la variedad no cuenta con protección en el país, por lo tanto su cultivo y comercialización es libre, pero si se quiere enviar fruta de esta variedad a Europa, la fruta debe utilizar su nombre de registro varietal correcto y acreditar sus pagos y derechos asociados
CITROGOLD (PTY) LTD, empresa sudafricana, posee los derechos de comercialización de la variedad de mandarina Nadorcott en varios países del hemisferio sur y tiene la facultad para autorizar la comercialización de fruta de la variedad que se exporte a Europa, en donde como ha sido dicho, su denominación varietal es Nadorcott (CPVO No. 14111).
CITROGOLD ha establecido un modelo de acreditaciones ANUALES que tiene como base y primer paso la ACREDITACION DEL IMPORTADOR en y para el mercado de Europa (Importador Acreditado). Es éste a quien se autoriza a importar fruta de la variedad y quien se obliga a pagar a CITROGOLD los correspondientes royalties.
El IMPORTADOR ACREDITADO deberá establecer los volúmenes y los orígenes de la fruta. Para apoyar el permiso del IMPORTADOR ACREDITADO, Citrogold autoriza a su vez a un exportador en Chile que es solicitado por el Importador. Este trámite es gestionado a través de BIOGOLD SUDAMERICA S.A. (BGSA). En este modelo los royalties, con cargo únicamente a la fruta exportada, son pagados por el IMPORTADOR.
El volumen total disponible definido en el programa de acreditacion de exportación de fruta desde Chile hacia Europa por temporada es un total de 5.000 toneladas.

2. PASOS EN LA ACREDITACION DE NADORCOTT PARA EUROPA A continuación se describen y detallan los Pasos para la Acreditación de Nadorcott para Europa: Paso 1: Acreditación del IMPORTADOR Los Importadores en Europa interesados en recibir fruta de la variedad Nadorcott deberán primeramente suscribir un Convenio de Acreditación de Importador directamente con CITROGOLD (Ver Formato utilizado para temporada 2017 en Anexo 1). Este Convenios de Acreditación tiene carácter anual vigente por la temporada respectiva.
Las principales consideraciones que deberán seguir los IMPORTADORES ACREDITADOS son:
§ El Importador Acreditado deberá importar fruta ÚNICAMENTE de EXPORTADORES ACREDITADOS. § El Importador Acreditado deberá firmar su Convenio de Acreditación antes del inicio del programa de
envíos a EU, y deberá informar de su plan de importación (volúmenes y exportadores de origen) a CITROGOLD en el mismo plazo. El royalty sobre la fruta que el IMPORTADOR deberá pagar directamente a CITROGOLD corresponde a 0,08 Euros por kilo importado (ocho centavos de euro por kilo), libres de todo impuesto. Este royalty deberá ser cancelado en un 50% previo a la exportación de la fruta, y el otro 50% el 31 de octubre de cada año. En caso de que el Importador requiera modificar sus volúmenes, después del inicio del programa, deberá anunciarse debidamente a Citrogold y Biogold para su autorización,, quien a su vez podrán negar o aceptar dicha solicitud, y si es posible gestionar la acreditación de una nuevo volumen.
Paso 2: Acreditación del EXPORTADOR Las empresas exportadoras interesadas en enviar fruta de la variedad Nadorcott deberán suscribir un Convenio de Acreditación de Exportador con BGSA y CITROGOLD (Ver Formato temporada 2017 en Anexo 2). Los Convenios de Acreditación tienen carácter ANUAL, por lo que tanto las nuevas exportadoras como aquellas que ya han sido acreditadas anteriormente deberán renovar sus Convenios. Sin perjuicio de lo anterior, será requisito que el Importador que recibirá fruta del Exportador hubiera suscrito anteriormente su Convenio con Citrogold.
Las principales consideraciones que deberán seguir los EXPORTADORES ACREDITADOS son:
§ El Exportador Acreditado deberá exportar fruta ÚNICAMENTE a IMPORTADORES ACREDITADOS. § El Exportador Acreditado deberá suscribir el Convenio de Acreditación a más el 30 de junio de cada
año. § Deberá informar el plan de exportación (volúmenes e importadores) a BGSA y CITROGOLD a más
tardar el 30 de junio de cada año. § El Exportador Acreditado tendrá la obligación de reportar SEMANALMENTE a BGSA el detalle
sus exportaciones, hasta que la temporada de envíos finalice. § Deberá proveer un reporte final con volúmenes y precios FOB obtenidos al final de la
temporada. § Toda la información provista por el Exportador será de carácter confidencial y sólo se publicará
información consolidada. § En caso de que el Exportador quisiera modificar el volumen comprometido en su Convenio
deberá notificar a BGSA y obtener su autorización en particular.

§ Cabe indicar que BGSA podrá autorizar mayores volúmenes sólo en el evento que CITROGOLD lo autorizara según programa.
§ El Exportador deberá utilizar de manera obligatoria el sistema de trazabilidad GESVATEC para sus envíos. Este sistema contempla el uso de etiquetas seriadas, las que serán entregadas por BGSA al Exportador. La entrega de las etiquetas se hará efectiva a la firma del Convenio de Acreditación de Exportador y coincidirá la cantidad de etiquetas con el volumen de exportación declarado. Las etiquetas no tendrán costo para el Exportador. Sólo en el caso de que al final de la temporada no se hubiera utilizado el total de etiquetas (1 por caja), es decir, que el volumen final exportado y el volumen asociado a etiquetas emitidas en su inicio no cuadren, se cargará un cobro directo al Exportador por etiqueta remanente correspondiente al costo establecido por Sistema Gesvatec por cada unidad.2
§ Las etiquetas deberán colocarse 1 en cada caja exportada en una ubicación visible. El volumen a exportar debe describir volumen específico por cada tipo de confección de caja (10 kg, 15 kg, etc) el cual será traducido en número total de etiquetas a entregar. Ejemplo de Etiqueta:
§ Para efectos de cumplir con la normativa legal y documentación de la fruta en el territorio destino, es fundamental que los documentos relacionados a la Exportación, así como la identificación en las cajas, declaren a la variedad bajo la denominación “Nadorcott”.
3. ANTECEDENTES DE RESULTADOS DE EXPORTACIÓN DE NADORCOTT PARA EUROPA TEMPORADA 2016

El volumen total importado de variedad Nadorcott a territorios de EU y UK desde Chile durante la temporada 2016 fue de 2.168.510 kg.
Los envíos 2016 comenzaron en la semana 30 finalizando en la semana 40. La ventana de exportación para Chile va desde la semana 36 a la semana 45, justo cuando Perú y RSA disminuyen considerablemente sus envíos.

1. BACKGROUND
1.1. The Nadorcott variety is protected in the European Union in terms of a Plant
Breeders’ Right granted under CPVO No. 14111.
1.2. Citrogold has been appointed by the Owners of the variety to commercialize the
Nadorcott variety, including the production in Chile for import and marketing of
the fruit of the variety in the European Union. Citrogold will supervise and co-
ordinate the export of fruit of the Nadorcott variety from Chile for import into the
EU and the collection of royalties.
1.3. The purpose of this Agreement is to establish the terms and conditions that apply
to the authority granted to the Licensed Importer for importing fruit into the EU.
2. DEFINITIONS
2.1. The clause headings in the Agreement are for the purpose of convenience only
and shall not be taken into account in the interpretation of nor modify the terms
of this Agreement.
2.2. Unless a contrary intention appears from the context, words importing any
reference to a gender includes the other genders; any reference to the singular
includes the plural and vice versa; and any reference to natural persons includes
legal persons and vice versa.
2.3. The following terms are defined accordingly:
2.4. ‘Authorised Exporters” mean exporters in Chile (currently as listed in Annexure
“A”), authorised by Citrogold to send Product to the European Union through a
Licensed Importer.

2.5. “Authorised Importers” mean reputable importers in the European Union that are
registered as such with Citrogold and are in good standing.
2.6. “Citrogold” means Citrogold (Pty) Ltd, Registration number: 1999/009004/07, a
South African company of limited liability and its appointed agent Biogold
International (Pty) Ltd.
2.7. “Country of Origin” means Chile.
2.8. “Effective date” means the date of signature of the last party signing this
agreement.
2.9. “2017 Marketing season” means the annual period during which the Products are
exported in each calendar year, estimated to be from May 2017 to October 2017
where the Country of Origin is in the Southern Hemisphere.
2.10. “Owners” means Nadorcott Protection SARL, Saint Raphael, France.
2.11. “Products” means the fruit of the Variety.
2.12. “Royalty” means 0,08 Euro (Eight Euro cents) per kilogram of exported Product,
payable by the Importer, free of any taxes that may apply.
2.13. “Specifications” means the quality specifications of the Products as set by the
LICENSOR on an annual basis and attached to this Agreement as Annexure “B”.
2.14. “Traceability System” means any relevant identification system, including, but not
limited to, Gesvatec™ which may be used to identify licensed Product.
2.15. “Variety” or “Varieties” or “Variety Name” means Nadorcott (also known as W.
Murcott. W Murcott under which the variety is also known, was a temporary name
used by the Owners for referencing the Variety and must in all cases be replaced
by the official denomination Nadorcott).

3. LICENSE
3.1. Citrogold hereby appoints the Authorised Importer as a Licensed Importer for the
2017 Marketing Season ONLY, to import the Products from Chile into the
European Union on the terms and conditions as set out in this agreement.
4. DURATION
4.1. Rights in accordance with this Agreement will be commencing with date of
signature of this Agreement and terminate on completion of the Marketing
Season 2017 and the final payment of all fees and royalties by no later than 30
November 2017.
5. AGREEMENT
5.1. Limited volumes of Product from Chile per season:
5.1.1. The volumes of Product available to reserve or for pre-season booking
from Chile for import into Europe are limited to 1,500 Metric tons in the
2017 Marketing season.
5.1.2. These volumes of Product may only be procured by Licensed Importers,
from Authorised Exporters.
5.1.3. The Licensed Importer should reserve or pre-book the necessary volumes
as soon as possible on a first come first served basis, by working with
Authorised Exporters (who can procure from any Chilean grower) as per
the terms and conditions set out in Clauses 5.2 and 5.6 below.
5.1.4. During the season and from time to time, the Licensed Importer may
request from Citrogold or its appointed agent information on whether
additional volumes are available for import into the EU.

5.2. Royalty Payments to procure volume of Products at the beginning and at the end
of the season:
5.2.1. The Licensed Importer must pay to Citrogold, or its appointed agent,
Royalties of €0,08 (Eight Euro cents) per kilogram of imported Product
free of any taxes.
5.2.2. The Licensed Importer must pay 50% of the royalty (€0,04 - four Euro
cents/kg) to Citrogold to confirm the reserved volume for the season, and
prior to any exports being undertaken.
5.2.3. The Licensed Importer must pay the remaining royalty due of €0,04 (four
Euro cents/kg) to Citrogold or its appointed agent, based on the actual
volume imported during the Marketing season, at the end of the
Marketing season, but in any event, before 30 November of the
Marketing season.
5.2.4. The 50% of royalty payable to confirm the reserved volume is non-
refundable and may be reconciled against the actual volumes imported at
the end of the Marketing season before 30 November. Any excess
payment may be carried over to be reconciled in the next season only.
5.2.5. If, as communicated by Citrogold, during the Marketing season there are
volumes of product available for import into the EU, the Licensed Importer
may import volumes over and above the reserved volume provided that:
5.2.5.1. The Importer is authorised in writing by Citrogold;
5.2.5.2. The Importer pays 50% of the royalty (€0,04 – four Euro cents/kg)
before the Products is prepared for shipping out of Chile by any
of the Authorised Exporters;

cents/kg) to Citrogold or its appointed agent, at the end of the
season before 30 November.
5.3. Traceability
5.3.1. It is a condition of this agreement that the Licensed Importer is required
to implement, adhere to and maintain the specified traceability system for
the purposes of determining the legal origin of the Products as specified
in Annexure “B”.
5.3.2. The Licensed Importer must ensure that all fruit boxes of the varieties in
terms of this agreement are marked with the Gesvatec traceability system.
5.4. Varietal Names
5.4.1. Licensed Importer may only use the Varietal Name “NADORCOTT” on the
box-end labels, subject to Licensed Importer informing Citrogold in
advance of all details regarding the volume and destinations of the
Products as Citrogold may require.
5.5. Specifications
5.5.1. The Licensed Importer shall ensure that the Products are to be packaged
and marketed in compliance with the relevant Specifications in Annexure
“B” to maintain the product appearance and product quality.
5.5.2. Citrogold and its appointed agent shall have the right to inspect Products
packed and sold to ensure that the abovementioned specifications are
being adhered to by the Licensed Importer.
5.6. Pre-season booking of volume:

5.6.1. Licensed Importer should provide Citrogold with an estimate of the
volume of fruit to be imported into the EU in order to reserve the volume
for the season, by completing Annexure “C”.
5.6.2. The reserved volume for the season will not be confirmed until Citrogold,
or its authorised agent, has received payment of the royalty due as set
out in clause 5.2.2.
5.7. During & After season requirements:
5.7.1. The Licensed Importer is required to give feedback on stock and sales by
volume, and week as per format in Annexure “D”. The feedback must be
submitted on a monthly basis on the 1st Friday of each month for the
preceding month, as per the format in Annexure “D”, until the season is
complete.
5.7.2. If at any time during the season, the Licensed Importer intends to exceed
the reserved volume for the season, and Citrogold has confirmed in
writing that additional export volumes are available, Licensed Importer
must pay 50% of the royalty (€0,04 per kg) to Citrogold to confirm the
additional reserved volume as set out in clause 5.2.5.2, BEFORE the
additional volumes are sent to the market.
6. TERMINATION OF AUTHORISATION
6.1. Should the Licensed Importer not abide by the terms of this Agreement, the
Annexures, or any updates thereof:
6.1.1. the Licensed Importer will be deemed to be not in good standing and will
be informed accordingly, and Citrogold may publish the name of the
Licensed Importer and the details of non-compliance as part of its
reporting to stakeholders; and

6.1.2. this license may be cancelled by the Citrogold, as provided for in clause
6.2 below;
6.2. The authorisation granted in terms of this agreement may be terminated under
the following circumstances where the Licensed Importer fails to remedy the
breach within 14 days of being requested to do so:
6.2.1. Licensed Importer’s failure to meet and/or fulfil any of the requirements
as stipulated in clause 5 above.
6.2.2. Purchasing or sourcing the Products from any individual or entity who is
not an Authorised Exporter as specified in Annexure “A”.
6.2.3. Accepting and marketing Products that do not meet the required selected
Specifications as specified in Annexure “B”
6.2.4. Accepting and marketing Products that do not meet the required
Specifications as listed in Annexure “B” under a variety name other than
the variety name listed in Annexure “B” for that defined quality;
6.2.5. Purchasing, sourcing or accepting and marketing Products without the
markings of the Traceability system as specified in Annexure “B”.
6.2.6. Accepting and marketing Products that meet the required Specifications
as listed in Annexure “B” under a Variety Name other than the applicable
Variety Names listed in Annexure “B” for that defined quality;
6.2.7. Accepting and marketing fruit of other varieties, whether registered or
unregistered, under the Variety Name.
6.2.8. Non-payment of the license fees or not meeting the payment terms of
royalties as stipulated in clause 5.2 above;
6.2.9. Conduct of the Licensed Importer that may be detrimental to the Product.

6.3. In the case of the termination of the authorisation, the Licensed Importer will
cease to be a Licensed Importer.
6.4. In the event of any unreported or underreported exports of Products, and without
prejudice to the Citrogold’s remedies as set out above, Citrogold shall be entitled
to levy a fee per unreported or underreported exported Product at U$ 0.05 / kg
as an agreed pre-determined liquidated amount of the damages.
6.5. The Licensed Importer can terminate the agreement by notifying the LICENSOR
of such termination in writing, by which this agreement will terminate after the
fulfilment of the Licensed Importers obligations in terms of this agreement for the
applicable season.
7. DISPUTES
7.1. The parties agree that any dispute arising out of or relating to this agreement, its
interpretation, rectification, breach, termination or cancellation shall be resolved
in accordance with the following tiered approach to dispute resolution:
7.2. The senior management of the parties shall attempt to resolve the dispute by
means of good faith negotiations;
7.3. Should this fail, or should either party declare in writing (a copy of which must be
sent to any recognized body of mediators in the United Kingdom, and failing
agreement to which, the Chairman of the London Court of International
Arbitration), that the dispute remains unresolved following the negotiations of
Clause 7.2, the parties will submit to mediation in terms of the mediation
procedures.
7.4. Unless otherwise agreed between the parties, the mediator will be nominated by
the mediation institute or such other body as may be appointed.

7.5. The first mediation meeting will be convened to start not later than 7 (seven) days
after the date of the written notice.
7.6. No party may commence any court proceedings/arbitration in relation to any
dispute arising out of this agreement until it has attempted to settle the dispute
by mediation and either the mediation has terminated or the other party has failed
to participate in the mediation, provided that the right to issue proceedings is not
prejudiced by a delay.
7.7. If the parties are unable to resolve the dispute, as confirmed by the mediator,
then any party may submit such dispute to mandatory and binding arbitration to
be conducted in the London Court of International Arbitration (LCIA) and in
accordance with its rules, by an arbitrator who is agreed to between the parties,
or failing agreement within seven days of the dispute arising, an arbitrator or
arbitrators appointed by the president of the LCIA.
7.8. Nothing herein contained shall be deemed to prevent or prohibit any party from
applying to the appropriate court for urgent relief.
7.9. The provisions of this clause will continue to be binding on the parties
notwithstanding any termination or cancellation of the agreement.
8. DOMICILIUM
8.1. The parties choose as their respective domicilium citandi et executandi for the
purpose of legal proceedings and for the purposes of giving or sending any notice
provided for or necessary in terms of this Agreement, the following addresses:

8.2. Provided that a party may from time to time change any address to any other
physical address, postal address or fax address within the Republic of South Africa
by written notice to the other party to that effect. Such change of address will be
effective 7 (seven) days after receipt of notice of the change of domicilium.
9. GENERAL
9.1. No variation, addition, deletion, or agreed cancellation hereof will be of any force
or effect unless in writing and signed by or on behalf of the parties hereto.
9.2. No waiver of any of the terms and conditions of this Agreement will be binding
or effectual for any purpose unless in writing and signed by or on behalf of the
party giving the same.

9.3. Neither this Agreement nor any part, share or interest therein nor may any rights
or obligations hereunder be ceded, assigned, or otherwise transferred without
the prior written consent of the other party.
9.4. This agreement shall be governed by and constructed and interpreted in

1. BACKGROUND
1.1. CitrogoldhasbeenappointedbytheOwnersofthevarietytocommercializetheNadorcott
variety,includingtheproductioninChileformarketingofthevarietyintheEuropeanUnion
wherethevarietyisprotectedintermsofaPlantBreeders’RightgrantedunderCPVONo.

1.2. CitrogoldhasappointedBiogoldSouthAmerica(BGSA)tomanagetheco-ordinationofthe
export of fruit of theNadorcott variety fromChile to Licensed Importers, for purposes of
saleofthefruitintotheEuropeanUnion.
1.3. ThepurposeofthisAgreementistoagreewiththeExporter,thetermsandconditionsthat
applytotheauthoritygrantedtotheExporterforsendingfruittotheLicensedImportersas
containedinthisagreement.
2. DEFINITIONS
2.1. TheclauseheadingsintheAgreementareforthepurposeofconvenienceonlyandshallnot
betakenintoaccountintheinterpretationofnormodifythetermsofthisAgreement.
2.2. Unlessacontrary intentionappears fromthecontext,words importinganyreferencetoa
genderincludestheothergenders;anyreferencetothesingularincludesthepluralandvice
versa;andanyreferencetonaturalpersonsincludeslegalpersonsandviceversa.
2.3. Thefollowingtermsaredefinedaccordingly:
2.4. “BGSA” or “Biogold South America” means Biogold South America S.A. Registration
number:76.024.177-6aChileancompanyoranyofitsappointedagents.
2.5. “Channel” means the conduit of movement of the Product from Grower to Exporter to
Importer to Customer. The Channel applicable to this agreement is defined on an annual
basisandassetoutinAnnexure“A1”and“A2”.
2.6. “Citrogold”means CitroGold (Pty) Ltd, Registration number: 1999/009004/07, a South
Africancompanyoflimitedliabilityoranyofitsappointedagents.

2.7. “CountryofOrigin”meansChile.
2.8. “Customer”meanstheReceiveroftheProduct–Retailer,BuyerorWholesalerasspecified
intermsoftheChannelasdefinedonanannualbasisandassetoutinAnnexure“A.2”.
2.9. “Effectivedate”meansthedateofsignatureofthelastpartysigningthisagreement.
2.10. “Exporter”means theparty authorized in termsof this agreement sending the fruit from
Chile,authorisedbyBGSA.
2.11. “Importer”or“LicencedImporters”meanstheImporteroftheProductsfromtheCountry
ofOriginthathasavalidandcurrentlicensetoImportthefruitoftheVariety(currentlyas
listedinAnnexure“A.2”).
2.12. “Marketing season”means theannualperiodduringwhich theProductsareexportedvia
theChannelineachcalendaryear,estimatedtobefromApril2017toOctober2017where
theCountryofOriginisintheSouthernHemisphere.
2.13. “Products” means the fruit of the Nadorcott.WMurcott underwhich the variety is also
known,wasatemporarynameusedbytheOwnersforreferencingtheVarietyandmustin
allcasesbereplacedbytheofficialdenominationNadorcott.
2.14. “Royalty”means0,08Euro(EightEurocents)perkilogramofexportedProduct,payableby
theImporter,freeofanytaxesthatmayapply:
2.15. “Specifications”means thequality and trademark specificationsof theProducts as setby
theLicensoronanannualbasisandattachedtothisAgreementasAnnexure“B”.
2.16. “Traceability System”meansany relevant identification system, including,butnot limited
to,Gesvatec™whichmaybeusedtoidentifylicensedProduct.
2.17. “Trademarks”meanstheClemengold™asusedinthemarketingand/orpromotionsofthe
ProductsandasstipulatedbyCitroGoldinAnnexure“B”,asthecasemaybe.

2.18. “Variety” or “Varieties” means Nadorcott (W Murcott under which the variety is also
known,wasatemporarynameusedbytheOwnersforreferencingtheVarietyandmustin
allcasesbereplacedbytheofficialdenominationNadorcott).
2.19. “VarietyName”meansrespectivelyNadorcott(alsoknownasW.Murcott).
3. AUTHORIZATION
3.1. BGSAherebyappointsandauthorizes theExporter for theMarketingSeasonONLYonthe
termsandconditionsassetoutinthisagreement.
4. AGREEMENT
4.1. RoyaltyPaymentstoreservevolumeandattheendoftheseason:
4.1.1. It is a conditionofboth thisagreementand the Importer LicenseAgreement that
theLicensedImportermustpayallRoyaltiestoCitrogoldoritsappointedagent,of
0,08Euro(EightEurocents)perkilogramofexportedProductfreeofanytaxes.
4.1.2. It is a conditionofboth this agreementand the Importer LicenseAgreement that
the Licensed Importer must pay 50% of the royalty to Citrogold to confirm the
reservedvolumefortheseason,andpriortoanyexportsbeingundertaken,ifthere
areanyincreasestothereservedvolumeinanyseason.
4.1.3. It isaconditionofboththisagreementandtheImporter licensethattheLicensed
Importer must pay the remaining royalty due of €0,04 (four Euro cents/kg) to
Citrogoldor itsappointedagent,basedon theactualvolume importedduring the
Marketingseason,attheendoftheMarketingseason,butinanyevent,before30
NovemberoftheMarketingseason.
4.1.4. Citrogoldwill not be responsible for the business arrangement between Licensed
Importer and their respective Authorised Exporters in relation to the payment of
correspondingroyaltyfortheMarketingSeason.
4.2. ChannelsformarketingoftheProducts:

4.2.1. Exporter is hereby authorised to acquire andmarket the Products in accordance
with the Channels as stipulated in Annexure “A”, which Channels chosen by the
ExporterandwillbeissuedorupdatedbytheExporteronanannualbasis.
4.2.2. ShouldtheExporternotabidebythelicensingrequirementsofthisAgreementand
theAnnexures,thelicensefortheChannelsmaybecancelledduringtheseasonby
Citrogoldasprovidedforinthisagreement.
4.3. Traceability
4.3.1. It is a condition of this agreement that the Exporter is required to implement,
adhere to and maintain the specified traceability system for the purposes of
determiningthelegaloriginoftheProducts.
4.3.2. The Exporter must ensure that all fruit boxes of the varieties in terms of this
agreementaremarkedwiththeGesvatectraceabilitysystem.
4.3.3. The labels printed are per growing season and cannot be used in later growing
seasons. Labels will be printed on the basis of estimated exports submitted by
Exporter.Exporterneeds tobecareful tosubmitaccurateexportestimates in this
regard.
4.3.4. The Exporter must obtain the Gesvatec labels confirming the legal origin of the
Products, from BGSA and settle directly with BGSA the costs of obtaining these
labels.
4.3.5. Gesvatecprinted labelcost is included in theroyaltypaidbyLicensed Importer to
Citrogold, stipulated in Clause 4.1.1. Nevertheless, in the event that Authorised
ExporterrequestsadditionallabelsorintheeventthatAuthorisedExporterdidnot
use all the assigned labels, according to the signed agreement, the Exporter shall
paythecostofthisprintedlabelsdirectlytoBGSAatapriceof€0,0015perprinted
kilogram.
4.4. VarietalNamesandTrademarks

4.4.1. Exporter may only use the word NADORCOTT on the box-end labels, subject to
Exporter informing BGSA in advance of all details regarding the volume and
destinationsoftheProductsasBGSAmayrequire.
4.4.2. Theuseof the Trademark is voluntary. If Exporterwants to designate the variety
undertheTrademarkname,Exportermustgetadditionalwrittenpermissionfrom
Citrogold and the Trademark owner, as noted in Annexure “B”. In the event that
Exporterchoosestoutilize theTrademark,aTrademark feewillbepayabletothe
TrademarkOwner.
4.5. Specifications
4.5.1. The Exporter shall ensure that the Products are to be packaged andmarketed in
compliance with the Specifications in Annexure “B” to maintain the product
appearanceandproductquality.
4.5.2. Citrogold and BGSA shall have the right to inspect Products packed and sold to
ensure that the abovementioned specifications are being adhered to by the
Exporter.
4.6. Pre-seasonbookingofvolume
4.6.1. ExportershouldprovidetoBGSAby30Juneofeachmarketingseasonanestimate
ofthevolumeoffruittobesentviatheChannelinordertoreservethevolumefor
theseason,bycompletingAnnexure“C”.
4.6.2. The reserved volume for the season will not be confirmed until Citrogold has
receivedthisroyalty.
4.7. During&Afterseasonrequirements
4.7.1. The Exporter is required to give feedbackon stock and sales by volume, channel,
andweek as per format in Annexure “D”. The feedbackmust be submitted on a
monthlybasiswiththefirstreportdueonthe1stFridayofAugustandthereafteron

thefirstFridayforeachprecedingmonthaspertheformat inAnnexure“D”,until
theseasoniscomplete.
4.7.2. If at any time during the season, the Exporter intends to exceed the reserved
volume for the season, and BGSA has confirmed inwriting that additional export
volumes are available, Exportermust confirm that the Importer pays 50% of the
royalty to Citrogold to confirm the additional reserved volume, BEFORE the
additionalvolumesaresenttotheImporter.
4.8. AccesstoInformation
4.8.1. TheExporterherebygrantsBGSAwrittenpermissiontoaccessallnecessaryrecords
and data with respect to the Exporters exports of the Variety from any relevant
regulatoryandstatutorybodies.
4.8.2. The Exporter agrees that Citrogold and BGSA is entitled to disclose or publish
information reported by the Exporter to Citrogold and BGSA in terms of this
Agreement in any format, as part of the Citrogold and BGSA general reporting
dutiestoindustrystakeholders.
5. TERMINATIONOFAUTHORIZATION
5.1. The authorization granted in terms of this agreement may be terminated under the
following circumstanceswhere the Exporter fails to remedy the breachwithin 14 days of
beingrequestedtodoso:
5.1.1. Exporter’s failure to meet and/or fulfill any of the requirements as stipulated in
clause4above.
5.1.2. MarketingtheProductsoutsideoftheChannelasspecifiedinAnnexure“A”.
5.1.3. Marketing the Products of any individual or entity who is not an Importer as
specifiedinAnnexure“A”.

5.1.4. AcceptingandmarketingProducts thatdonotmeettherequiredSpecificationsas
specifiedinAnnexure“B”
5.1.5. AcceptingandmarketingProductsthatdonotmeettherequiredSpecificationsas
listed in Annexure “B” under a trademark and/or variety name other than those
trademarksandvarietynameslistedinAnnexure“B”forthatdefinedquality;
5.1.6. AcceptingandmarketingProductswithoutthemarkingsoftheTraceabilitysystem
asspecifiedinAnnexure“B”.
5.1.7. Accepting and marketing fruit of other varieties, whether registered or
unregistered,undertheVarietyName.
5.1.8. AcceptingandmarketingProductsthatdonotmeetthebrandingguidelinesasset
fromtimetotimeinAnnexure“B”;
5.1.9. Sending Fruit to the Importer that has not paid the required royalties for the
bookedfruit.
5.1.10. Conduct of the Exporter that may be detrimental to the Products and the
Trademarks;
5.2. Inthecaseoftheterminationoftheauthorization,theExporterwillberemovedfromthe
Channellist.
5.3. IntheeventofanyunreportedorunderreportedexportsofProducts,andwithoutprejudice
to the Citrogold’s remedies as set out above, Citrogold shall be entitled to levy a fee per
unreportedorunderreportedexportedProductatU$0.05/kgasanagreedpre-determined
liquidatedamountofthedamages.
5.4. TheExportercanterminatetheagreementbynotifyingtheLicensorofsuchterminationin
writing, by which this agreement will terminate after the fulfillment of the Exporters
obligationsintermsofthisagreementfortheapplicableseason.

6. DURATION
6.1. RightsinaccordancewiththisAgreementwillbecommencingwithdateofsignatureofthis
AgreementandendingoncompletionoftheMarketingSeason2017andthefinalpayment
ofallfeesandroyalties.
6.2. The Channel as stipulated in Annexure “A” and the quality specification as specified in
Annexure“B”andthereportingtemplateasinAnnexure“C”isrenewablebyCitrogoldand
BGSAonanannualbasis.
6.3. Permission for use of the currently Citrogold approved Trademarks will be given to the
Exporter in writing by the Trademark Owner/s on an annual basis. Refer to Note 1 in
Annexure“B”.
7. DISPUTES
7.1. The parties agree that any dispute arising out of or relating to this agreement, its
interpretation, rectification, breach, termination or cancellation shall be resolved in
accordancewiththefollowingtieredapproachtodisputeresolution:
7.2. The seniormanagement of the parties shall attempt to resolve the dispute bymeans of
goodfaithnegotiations;
7.3. Should this fail,orshouldeitherpartydeclare inwriting (acopyofwhichmustbesent to
ChamberofCommerce,MediationandArbitrationofSantiagoandthatthedisputeremains
unresolvedfollowingthenegotiationsofClause7.1,thepartieswillsubmittomediationin
termsofthemediationprocedures.
7.4. Unless otherwise agreed between the parties, the mediator will be nominated by the
mediationinstituteorsuchotherbodyasmaybeappointed.
7.5. Thefirstmediationmeetingwillbeconvenedtostartnotlaterthan7(seven)daysafterthe
date of the written notice and will be held at the offices of Chamber of Commerce,
MediationandArbitrationofSantiagoinSantiago,Chile,unlessotherwiseagreed.

7.6. No party may commence any court proceedings /arbitration in relation to any dispute
arisingoutofthisagreementuntil ithasattemptedtosettlethedisputebymediationand
either the mediation has terminated or the other party has failed to participate in the
mediation,providedthattherighttoissueproceedingsisnotprejudicedbyadelay.
7.7. If thepartiesareunabletoresolvethedispute,asconfirmedbythemediator, theneither
partymaysubmitsuchdisputetomandatoryandbindingarbitrationtobeconductedinthe
English language and in accordance with the rules of the AFSA, by an arbitrator who is
agreedtobetweentheparties,orfailingagreementwithinsevendaysofthedisputearising,
an arbitrator or arbitrators appointed by the president of the association. The arbitration
willbeheldinCapeTown,SouthAfrica.
7.8. Nothinghereincontainedshallbedeemedtopreventorprohibitanypartyfromapplyingto
theappropriatecourtforurgentrelief.
7.9. Theprovisionsofthisclausewillcontinuetobebindingonthepartiesnotwithstandingany
terminationorcancellationoftheagreement.
8. DOMICILIUM
8.1. Thepartieschooseas their respectivedomiciliumcitandietexecutandi for thepurposeof
legal proceedings and for the purposes of giving or sending any notice provided for or
necessaryintermsofthisAgreement,thefollowingaddresses:

8.2. Provided that a party may from time to time change any address to any other physical
address,postaladdressorfaxaddresswithintheRepublicofSouthAfricabywrittennotice
to the other party to that effect. Such change of addresswill be effective 7 (seven) days
afterreceiptofnoticeofthechangeofdomicilium.
9. GENERAL
9.1. Novariation,addition,deletion,oragreedcancellationhereofwillbeofanyforceoreffect
unlessinwritingandsignedbyoronbehalfofthepartieshereto.
9.2. NowaiverofanyofthetermsandconditionsofthisAgreementwillbebindingoreffectual
foranypurposeunlessinwritingandsignedbyoronbehalfofthepartygivingthesame.
9.3. NeitherthisAgreementnoranypart,shareorinterestthereinnoranyrightsorobligations
hereunder may be ceded, assigned, or otherwise transferred without the prior written
consentoftheotherparty.
9.4. This agreement shall begovernedbyand constructedand interpreted in accordancewith
thelawsoftheRepublicofChile.
